Practice Focus
Andrés' practice mainly focuses on capital markets, financing transactions and private equity.
He has advised Mexican and international clients on a wide range of transactional matters. Andrés' experience ranges across a broad range of complex commercial transactions, including equity and debt public offerings, single bank, and syndicated facilities, secured and unsecured local and cross-border loans, and securitizations.
Andrés has been particularly active in the Mexican private equity market and has advised Mexican and international sponsors in the creation and ongoing transactions of their respective CKDs and CERPIs public funds, as well as their respective non-public funds. Additionally, Andrés has provided advice on debt issuances under Rule 144A and Regulation S of the US Securities Act.
Representative Legal Matters
Prior to joining the Firm, Andrés handled the following matters:
- Advised an international industrial real estate sponsor on the creation of its new private fund (Fund 4), in which different Mexican pension funds participated as investors.
- Advised a Mexican industrial real estate sponsor on the creation of its new private fund (Fondo V), in which different Mexican pension funds participated as investors.
- Advised an international industrial real estate sponsor on the creation of a new co-investment private fund, to invest alongside with other vehicles managed by the same sponsor.
- Advised a LatAm Enegy and Infrastructure sponsor on the creation of a new co-investment private fund, to invest alongside a Mexican CKD (AINDACK).
- Advised a Mexican last-mile industrial real estate sponsor on the creation of its new private fund, in which different Mexican pension funds participated as investors.
- Advised FIBRA Macquarie, FIBRA Prologis and FIBRA Terrafina on some of its credit facilities (single bank and syndicated facilities, unsecured local and cross-border loans, and sustainability-linked credit agreements).
- Advised an international industrial real estate sponsor on the creation of a new private fund and a new CKD (PLA3CK22), in which different Mexican pension funds participated as investors.
- Advised a Mexican industrial real estate sponsor on the creation of a new private fund (Fondo III) and a new CKD (FNSA3CK), in which different Mexican pension funds participated as investors.
- Advised an international industrial real estate sponsor on the creation of a new private fund (Fund 3), a new CKD (WSMX3CK), and 2 new CERPIs (WACERPI and PRCERPI), in which different Mexican pension funds participated as investors.
- Advised Blackstone on several ongoing matters in connection with its CERPI (BXMXPI).
- Advised BlackRock on the creation and initial public offering of its USD 115 million CERPI (BLKAGPI).
- Advised AlphaCredit on the creation of its PS 7,000 and 2,000 million securitization programs, as well as on the issuances carried out under such programs.
