Biography
Lewis Assness is a senior associate in Baker McKenzie’s New York office and a member of the North America Transactional Practice Group.
Lewis offers strategic guidance to clients spanning diverse sectors, with a focus on cross-border and US domestic mergers, acquisitions, carve-outs, joint ventures, and private equity deals.
Prior to joining the New York office, Lewis worked in Baker McKenzie’s Sydney office as part of the Sydney Transactional Practice Group and as Australian Legal Counsel on a client secondment.

New York
- Acted for AURELIUS on the carve-out acquisition of Teijin Automotive Technologies North America (TAT NA) – a leading US-based provider of advanced composite technologies for the automotive, heavy truck, and marine sectors – from its Japanese parent, Teijin Limited. Headquartered in Auburn Hills, Michigan, TAT NA employs approximately 4,500 people across 14 sites in the US and Mexico and generates annual revenues exceeding USD 1 billion.
- Acted for Dover Corporation, a US-based diversified global manufacturer (NYSE: DOV), on a series of internal corporate reorganizations involving the restructuring of its global subsidiaries across multiple jurisdictions, including advising on pre- and post-merger integration matters.
- Acted for hearX Group, a South African hearing health technology company, in connection with its joint-venture transaction with Eargo, Inc., a US-based provider of direct-to-consumer hearing aids, to form LXE Hearing, supported by a USD 100 million investment from Patient Square Capital.
- Acted for Hallstar, a US-based specialty chemical company, on its acquisition of Sytheon, Ltd., a provider of skincare active ingredients, for an undisclosed amount, with the acquired business to be integrated into Hallstar’s Beauty division.
- Acted for Embracer Group, a Swedish video game holding company, on the divestment of selected assets of Saber Interactive – including gaming studios Nimble Giant, 3D Realms, Sandbox Strategies, New World Interactive, Slipgate, Mad Head Games, Fractured Byte, and DIGIC – to Beacon Interactive across 11 jurisdictions, for upfront consideration of USD 150 million and a potential earn-out of up to USD 375 million (comprising USD 100 million in cash and USD 275 million in shares), representing total consideration of up to USD 525 million assuming full earn-out.
- Acted for Tietoevry Oyj, a Finnish headquartered IT software and services company, on its acquisition of MentorMate, a digital engineering company headquartered in the US.
- Acted for Embracer Group in connection with its acquisition of three video game studios – Crystal Dynamics, Eidos-Montréal, and Square Enix Montréal – together with a catalogue of IPs, for USD 300 million.
- Acted for a multinational pharmaceutical company in connection with the sale of its Russian operations for an undisclosed amount.
Sydney
- Acted for Shell Energy Operations Pty Ltd, a wholly owned subsidiary of Shell, and Infrastructure Capital Group, a leading Australian infrastructure manager, in connection with their acquisition of New Zealand company Meridian Energy (comprising an energy retailer, Powershop Australia, and wind, hydro and development assets, including operating wind farms and hydro projects) for a total consideration of AUD 730 million.
- Acted for Youfoodz Holdings Limited in connection with its sale to HelloFresh SE by way of scheme of arrangement for total consideration of AUD 125 million.
- Acted for Youfoodz Holdings Limited (formerly ASX: YFZ), one of Australia’s fastest growing ready-to-eat food brands, in connection with its initial public offering and listing on the Australian Securities Exchange.
- Acted for Crayon Group Holding ASA (OB: CRAYN) in connection with its AUD 410 million acquisition of rhipe Limited (ASX: RHP), a cloud software licensing business, by scheme of arrangement.
- Acted for a multinational coffee company in connection with its acquisition of an Australian coffee company for an undisclosed amount.
- Acted for US listed healthcare company, HMS Holdings Corp (NASDAQ: HMSY), a US healthcare analytics and technology company, in connection with its acquisition of Lorica Health, one of the largest payment accuracy solutions providers in Australia.
- Acted for a Japanese multinational cement and construction materials company in connection with the formation of a joint venture with another major participant in the same sector.
