Biography

Ryan Alho is a partner in Baker McKenzie's Energy & Infrastructure and M&A Practice Groups in Johannesburg.

Ryan is a transactional lawyer who focuses on corporate transactions and project development in the energy, petrochemicals and infrastructure sectors. His practice combines deep commercial expertise in M&A, structuring, joint ventures, and public-private partnerships with technical project development capability.

Representative Legal Matters

  • Advised Denham Capital and BioTherm Energy on the disposal of their Round 4 REIPPP (South Africa’s Renewable Energy Independent Power Producer Procurement Programme) investments and their African renewable energy platform to Actis. *
  • Advised Denham Capital and BioTherm Energy on the disposal of their Round 1 REIPPP (South Africa’s Renewable Energy Independent Power Producer Procurement Programme) investments to Sun Edison / Terraform Global. *
  • Advised Denham Capital and BioTherm Energy on the corporate and equity agreements and economic development matters for the submission of bids under Round 2 and Round 4 of REIPPPP; and advised on the finalisation and implementation of those agreements to achieve financial close. *
  • Currently advising a global renewables developer in relation to a 130MW floating solar and BESS project in the Maldives.
  • Currently advising a European DFI in relation to an equity investment in a South African renewable energy platform.
  • Advised Pele Green Energy in relation to an asset-for-share with H1 Capital involving the Soetwater, Nxuba, Karusa, Oyster Bay and Garob wind projects in South Africa. *
  • Advised The Independent Institute of Education, a subsidiary of ADvTECH Limited, in relation to the drafting and negotiation of private Power Purchase Agreements with the developers of solar PV plants and BESS for its operations.
  • Advised the developer in relation to a large-scale ecosystem restoration project in South Africa.
  • Advised Simacel Proprietary Limited in respect of STANLIB and Navitas Holdings’ acquisition of Simacel’s stake in various solar photovoltaic plants. *
  • Advised a preferred bidder under the RMIPPPP on the corporate and equity agreements and related matters. *
  • Advised BioTherm Energy on the acquisition of Perdekraal West wind energy project. *
  • Advised Weco Proprietary Limited as sell-side legal counsel to its shareholders in relation to the disposal of 100% of the shares in Weco to Epiroc.
  • Advised Séché Environnement on the acquisition of the Spill Tech group of companies. *
  • Advised The Coca-Cola Company on the creation of an African bottling company with SABMiller and Gutsche Family Investments with an estimated value of USD 3 billion, and on the subsequent exit of SABMiller as controlling shareholder of the newly formed bottling company. *
