Baker McKenzie has advised VINCI Energies in connection with the announced public delisting tender offer for All for One Group SE. The bidder VINCI Energies Deutschland Enterprise Solutions AcquiCo SE, a wholly-owned indirect subsidiary of VINCI S.A., is offering the shareholders of All for One a cash payment of EUR 67.50 per share for all shares not already held directly by it. The offer is unconditional.
The Bidder and All for One have entered into a delisting agreement under which All for One has undertaken to apply for the revocation of the admission of its shares to trading on the Regulated Market (Prime Standard) of the Frankfurt Stock Exchange, subject to its review of the offer document and the Management Board’s and Supervisory Board’s compliance with their statutory duties of loyalty and due diligence. The revocation is to take effect no earlier than upon expiry of the acceptance period for the delisting offer.
“With this delisting offer, VINCI Energies is further strengthening its commitment to All for One. We are pleased to once again support VINCI Energies in this important transaction,” commented Dr Peter Wand, lead partner on the transaction.
“A public delisting tender offer requires a clearly structured and reliably managed process. The constructive cooperation among all parties involved contributed significantly to the successful launch of this public M&A transaction for VINCI Energies,” added Dirk Horcher, co-lead partner on the transaction.
