Biography

Katherine has solid experience in corporate law and banking & finance. She has participated, and participates, in transactions for the acquisition and sale of companies as well as corporate reorganizations. She also has experience in counseling foreign and domestic companies in corporate maintenance, commercial agreements and due diligence. Katherine also has been involved in financings and project finance agreements (domestic and foreign) as well as the incorporation and amendment of their related guarantees.

Representative Legal Matters

  • Advised Ergon Peru, a subsidiary of Italian-based Tozzi Green, in connection with refinancing a secured term loan for USD 143 million entered into by Ergon Peru, as borrower and Sumitomo Mitsui Banking Corporation as the lender. Proceeds of the loan was used to prepay a secured term loan and finance the installation and operation of the autonomous photovoltaic panels in areas not connected to the electrical grid in the northern, central and southern parts of Peru (2018)

  • Member of the team which advised IBT Health S.A.C. in connection with a USD 40 million secured loan granted by Bank of America, N.A. (2018)

  • Member of the team which advised Interbank in the bonds issuance and reopening pursuant Rule 144-A and/or the Regulation S of the U.S. Securities Act of 1933 and the exchange offer for the holders of corporate bonds issued by its branch in Panama (2018)

  • Advised  Kandeo Fund II (Perú) Servicios Financieros and Kandeo Spain Latam S.L.U. in an investment agreement with Corporación San Ignacio de Loyola S.A. by which Kandeo will contribute with USD 50 million to the Corporación's capital stock for developing the business plan of Universidad San Ignacio de Loyola (Peru), USILSA S.A. (Paraguay) and San Ignacio University, Inc. (Florida, USA) (2017)

  • Member of the team which advised the lender in the cross collateralization transaction of two international credit lines for USD 550 million, in relation to the Constancia Mine of Hudbay Peru S.A.C. (2017)

  • Member of the team which advised Frusan Agro in a USD 11 million term loan with Frusan Agro as borrower, Metropolitan Life Insurance Company as lender, and Agrovision Peru, Agro Vision Corp, Agrovision Development Corporation, Green Sands Inc., Green Sands Peru, Arena Verde, Frusan Peru S.A.C., Inmobiliaria Frusan S.A., Fondo de Inversion Privado FSFSA and Frutera San Fernando S.A. as guarantors, and the complete amendment of a trust agreement to secure the term loan.   • Advised Ergon Peru, a subsidiary of Italian-based Tozzi Green, in connection with a $ 30 million secured term loan with Ergon Peru, as borrower, Tozzi Green and Tozzi Holding as guarantors and Credit Suisse AG, Cayman Islands Branch, as the initial lender. Proceeds of the loan will finance the installation and maintenance of certain autonomous photovoltaic panels in areas not connected to the electrical grid in the northern, central and southern parts of Peru. The loan will be repaid, partially, with the resources of the panels users (2016)

  • Advised Banco Davivienda and Bancolombia Puerto Rico Internacional in certain security agreements to be entered into under Peruvian laws to secure a USD 19,500,000 loan granted by both banks to a Colombian trust estate in order to allow such trust estate to acquire the Peruvian company Hibu Peru S.A.C. (2016)

  • Member of the team which advised Agrovision Peru, in certain security agreements to be entered into to secure a USD 25 million term loan with Agrovision Peru as borrower, Metropolitan Life Insurance Company as lender, and Agro Vision Corp, Agrovision Development Corporation, Green Sands Inc., Green Sands Peru and Arena Verde as guarantors. In addition, the team advised Agrovision Peru in acquiring an agricultural plot in Lambayeque (2016)

  • Advised Ingram Micro Peru S.A. and Ingram Micro S.A.C. on their merger of operations in Peru (2015)

  • Member of the team which advised Parque Arauco in acquaring Ekimed through its Peruvian subsidiary Inmuebles Comerciales del Peru for USD 98 million, of which USD 33 million was used to offset Ekimed’s outstanding debt (2015)
