Biography

Miles Wadley is a partner in Baker McKenzie’s Melbourne office. He is the head of our Australian Project Finance practice, and has worked in Australia and New York.

Practice Focus

Miles focuses on energy and infrastructure financing, including for power and transmission projects, digital infrastructure, PPPs and social infrastructure.

Miles also focuses on project finance but has had a broad-ranging career across a variety of infrastructure and related transactions. He has significant international experience, having practiced in New York for several years.

Miles is experienced in all aspect of project finance and corporate finance transactions, security law, financing structures, complex derivative structures and documentation as well as significant experience with project documents such as Project/Concession Agreements, EPC and O&M contracts and PPAs. He is a trusted professional in greenfield transactions, acquisitions and refinancings.

Representative Legal Matters

Prior to joining the Firm, Miles handled the following matters:

  • Acted for HMC Capital on its financing for its acquisition of Neoen’s Victorian renewable assets.
  • Acted for the Financiers on a portfolio financing for Community Housing Limited in relation to its Queensland Housing Investment Fund-backed projects.
  • Acted for BBGI in its refinancing of the Northern Territory Secure Facilities PPP Project in Darwin.
  • Acted for the financiers to the largest Public Private Partnership (PPP) in Australia, and the first PPP in the market to feature Alliance contracting principles; the AUD 11.1 billion North-East Link PPP in Victoria.
  • Acted for lenders to Waveconn, the OMERS-owned company in its acquisition of the TPG towers business, and bids for the Optus/ATN and Axicom towers businesses.
  • Acted for APG in its AUD 2 billion acquisition and subsequent refinancing of a 16.8% stake in Ausgrid.
  • Acted on renewables project financings and refinancings such as Wattle Point Wind Farm, Bald Hills Wind Farm, Ararat Wind Farm, Oakey & Longreach Solar Farms, Metz Solar Farm, Mt Mercer Wind Farm, Mt Millar Wind Farm, Biala Wind Farm, Waipipi Wind Farm and Dundonnell Wind Farm.
