Biography

Isaiah is a senior associate in the Corporate & Securities practice in the Chicago office of Baker & McKenzie LLP. Originally from Michigan, Isaiah attended Michigan State University on a Track & Field scholarship prior to moving to Chicago for law school. When not working, he enjoys family, exercise, reading, fly-fishing and hanging out with his dog.

Practice Focus

Isaiah chiefly represents strategic acquirers, private equity sponsors and their platform companies and family offices in negotiating, structuring and closing complex business transactions — primarily mergers & acquisitions, LBOs, take-private transactions, asset deals and related carve-out transactions, joint ventures, recapitalizations and minority equity investments. He also advises on GP stakes transactions, including asset manager M&A and succession planning structures. His experience extends to complex corporate governance matters and venture-backed transactions, on both the lead investor and company sides.

Aerospace and Defense

  • Donaldson Company, Inc. (NYSE: DCI) in its agreement to acquire Facet Filtration Group, a global leader in aviation and industrial fuel filtration solutions, from affiliates of Madison Industries for USD 820 million.
  • Safran ADR (OTCMKTS: SAFRY) in its planned remedy divestiture of stock and assets to Woodward, Inc. (NASDAQ: WWD) as part of Safran’s broader USD 2.4 billion acquisition of Collins Aerospace's Actuation and Flight Control Business.
  • Cognitive Capital Partners in its acquisition of Qal-Tek Associates, a provider of products and services to the Chemical, Biological, Radiological, Nuclear and Explosives market.

Agriculture

  • CHS, in partnership with Brazilian railroad Rumo, in constructing a USD 440 million grain terminal at Port of Santos, Brazil, Latin America’s largest port for grains and fertilizers.

Asset Manager M&A and GP-Staking

  • Hunter Point Capital in its strategic investment in L Catterton, a leading global consumer-focused investment firm, to accelerate the growth of L Catterton’s global business offerings.
  • Elda River Capital Management on its spin-out from Magnetar Capital and launch as an independent real assets-focused investment firm.
  • P10 Holdings, Inc. (OTC: PIOE) in its acquisition of Five Points Capital, Inc.
  • Private family offices in an array of investments in previously captive asset management vehicles.

Consumer and Retail

  • Valor Capital Partners in its investment in LesserEvil, makers of organic popcorn.
  • Grecian Delight, a manufacturer and marketer of Greek and Mediterranean inspired cuisine, in its sale to Entrepreneurial Equity Partners.

Energy and Natural Resources

  • NPK International Inc. (NYSE: NPKI) on its global carveout and sale of its fluids system segment to SCF Partners for USD 127.5 million.
  • Superior Graphite, a leading manufacturer of graphite, in its agreement with Unimetal to divest its recarburizer business, Desulco trademark and X-Carb brand.
