Biography

Rick Troiano is a corporate partner with over 20 years' experience at Baker McKenzie specialising in mergers and acquisitions, equity capital markets and corporate advisory work. He has extensive experience advising ASX-listed companies, multinational corporations and institutional investors on complex domestic and cross-border transactions.

Practice Focus

Rick’s practice is focused on advising clients on takeovers, schemes of arrangement, private share and asset sale and purchase transactions, IPOs, rights issues, placements and other corporate transactions. He also advises clients on a diverse range of legal issues including transaction structuring, due diligence, directors' duties, market disclosure, listing rule compliance and corporate governance matters.

Rick regularly acts for major Australian listed clients across a wide range of sectors. He also has extensive experience in cross-border M&A, advising international clients on their investments in Australia.

Rick was previously seconded to the Australian Takeovers Panel, the main forum for resolving takeover disputes in Australia, giving him a deep understanding of the regulatory landscape governing public M&A transactions in Australia.

He is also a member of the Corporations Committee (Law Council of Australia), a forum through which current legal issues affecting business are discussed and considered in the context of law reform in Australia.
