Napatorn joined Baker McKenzie in 2010. She is active in the consumer goods and retail and healthcare and life sciences industries as well as investigations, compliance and ethics and mergers and acquisitions practices.
Practice Focus
Napatorn has advised numerous multinational clients on their operations in Thailand. She advises on issues relevant to foreign investors, such as compliance, foreign investment, consumer protections, mergers and acquisitions, and corporate structures.
Representative Legal Matters
- Advising on legal issues surrounding licensing and approval requirements, including warning, labelling, marketing, and advertising requirements, for consumer products.
- Advising on requirements of e-commerce and multi-level marketing businesses in Thailand.
- Assisting with pre-litigation fact finding and interviews, and advising clients on legal compliance issues (including civil, criminal, and labour matters).
- Assisting with corporate investigation work with respect to corporate fraud and employee misconduct.
- Assisting with management interviews and due diligence on compliance, anti-bribery, anti-money laundering as well as competition matters.
- Advising on foreign investment and corporate structure in Thailand.
- Assisting with merger and acquisition due diligence investigations related to general corporate matters, licenses and permits, and commercial contracts.
- Assisting with legal advice and analysis on legal requirements with respect to the healthcare industries.
- Assisting with drafting and negotiating various commercial contracts, including sale and purchase agreements, shareholders agreements, joint venture agreements, distributorship agreements, agency agreements, lease agreements, sponsorship agreements, employment agreements, as well as providing comments, analysis, and advice on such contracts.
- Assisted an oil and natural gas company in the preparation of bidding documents to be submitted to the Department of Mineral Fuels, the Ministry of Energy.
- Assisted with legal analysis regarding amendments of a partnership and company law under the Civil and Commercial Code for the Ministry of Commerce.
