Biography

Robert Śmigielski is an advocate admitted to practice in Poland, an associate in the Banking and Finance Practice at Baker McKenzie in Warsaw. Robert graduated from the Faculty of Law and Administration of the University of Warsaw in 2020 and was admitted to the bar in 2025. Prior to joining Baker McKenzie in May 2022, Robert worked at renowned Polish and international law firms in Warsaw starting from 2018.

Practice Focus

Robert is a transactional lawyer with extensive experience in financial, commercial, corporate, and capital markets law. He advises borrowers and lenders, including private equity funds, on a wide range of domestic and cross border financing transactions, including acquisition finance, corporate finance, and complex refinancing structures.

He has also acted on numerous debt capital markets transactions, advising on bond issuances across various formats, including EMTN programs and high yield offerings, representing both issuers and dealer banks.

He has also participated in complex transactions on the Polish capital market, including IPO transactions.

Representative Legal Matters

  • Advised Vectra S.A. in connection with the financing of the acquisition of shares in Multimedia Polska S.A., as well as the refinancing of indebtedness of Vectra S.A. and Multimedia Polska S.A. by means of senior and revolving first lien and second lien facilities arranged by Bank Pekao S.A. and BNP Paribas SA.
  • Advised Maspex Group, the largest private company in the food industry in Poland and one of the largest in CEE, on its PLN 2.8 billion (c. EUR 610 million) acquisition financing agreement concluded with a consortium of four banks, along with the settlement mechanism for acquiring CEDC, a leader on the vodka market and the largest importer of foreign spirits in Poland.
  • Advised Jyske Bank A/S and PKO Bank Polski S.A. in connection with the refinancing of senior secured notes issued by Goodvalley Group by means of a EUR 150 million term and revolving credit facilities.
  • Advised Echo Investment S.A., the largest Polish developer, in connection with several of its public bond issuance programs, including its most recent PLN 300 million program.
  • Advised a consortium of 15 financial institutions on PLN 3.5 billion (approx. EUR 823 million equivalent) in multi-currency syndicated refinancing for the Zabka Group.
  • Advised Bank Pekao S.A., the second largest Polish bank, on all aspects of the establishment of a EUR 5 billion Euro Medium Term Note program and issuance of EUR 500 million 5.50% Senior Non-Preferred Green Notes due 2027 under the program.
  • Advised Banco Santander, Citigroup Global Markets Limited and J.P. Morgan SE as initial purchasers on InPost S.A.’s issuance of EUR 850 million high-yield bond issue.
  • Advised Mid Europa and Diagnostyka in connection with a credit agreement made available by a consortium of banks to Diagnostyka.
