
Krzysztof Regucki
Biography
Krzysztof Regucki is an advocate admitted to practice in Poland and a senior associate in the Capital Markets Practice of the Baker McKenzie's Warsaw office.
He graduated from the Faculty of Law and Administration of the University of Warsaw in 2020 and the Warsaw School of Economics (Finance & Accounting) in 2019. As of 2024, he is admitted as an active advocate with the Warsaw Bar Association.
Prior to joining Baker McKenzie in 2025, Krzysztof worked at renowned Polish and global law firms starting from 2018.
Practice Focus
Krzysztof's work focuses on corporate and commercial law, including advising Polish and international clients on securities offerings, private and public M&A transactions, and regulatory matters related to capital markets law. He has experience advising on transactions within the framework of Polish and EU regulatory regimes.
He has participated in numerous international projects, advising issuers, financial institutions, strategic investors and financial sponsors on complex transactions on the Polish capital market.
Krzysztof is also engaged in various educational initiatives focused on capital markets.
Representative Legal Matters
- Advised the selling shareholder, MidEuropa, in connection with the IPO of Diagnostyka S.A. shares with a total value of nearly PLN 1.7 billion (USD 420.5 million), and their admission and introduction to trade on the Warsaw Stock Exchange.
- Advised shareholders of Benefit Systems S.A. on the sale of shares through an accelerated book-building process with a total value of ca. PLN 1.4bn (ca. EUR 320 million).
- Advised the joint global coordinators — Jefferies GmbH, Santander Bank Polska - Santander Biuro Maklerskie, Banco Santander, Wood&Company Financial Services — on the successful accelerated bookbuilding process for Benefit Systems S.A.'s offering of 280,000 Series H shares with total value of PLN 742 million (c.a. EUR 172.5 million).
- Advised Norsk Hydro, a leading aluminum and energy company, on its acquisition of Alumetal, one of the largest producers of casting aluminum alloys in Europe, and its delisting from the Warsaw Stock Exchange. The transaction was valued at EUR 321 million.
- Advised Total Specific Solutions, a Dutch software group, on its acquisition of 66% of the shares in Sygnity, one of the leading companies in the Polish IT sector. The value of the shares sold was ca. EUR 43 million.
- Advised Allegro on its EUR 925 million acquisition of 100% of the shares in Mall Group and WE|DO.
- Advised the issuer and selling shareholders in a Rule 144a IPO and listing of an e-commerce company on the Warsaw Stock Exchange.
- Advised joint bookrunners in a Rule 144a IPO and listing of a logistics company on Euronext Amsterdam.
- Advised AHP Investments on the sale of the majority stake in American Heart of Poland, the largest independent provider of comprehensive cardiovascular care in Europe, to Gruppo San Donato, Italy's largest private healthcare group.
- Advised Partners Group on its acquisition of Velvet CARE, one of the leading manufacturers of hygiene paper products in Europe.
