Biography

Miguel Pinto de Almeida is a Counsel in the tax group of Baker McKenzie's Luxembourg office. He has over 10 years of experience. Prior to joining the Firm, Miguel was a tax lawyer in a leading law firm in Luxembourg and a tax manager in Big Four firms in Luxembourg and in Portugal. Earlier in his career, he has also worked as a junior lawyer in the tax department of a first tier law firm in Lisbon.

Practice Focus

Miguel has experience in advising clients on tax issues relating to corporate investments and financing, M&A and reorganizations. Miguel advises on reducing international corporate tax risks in relation to investment and holding structures. He has particular experience with transactions involving Latin American jurisdictions and Portugal. Miguel has also handled matters involving transfer pricing and VAT.

Miguel is a member of the Private Debt Technical Committee of the Luxembourg Private Equity & Venture Capital Association (LPEA). He is also a member of the Tax – Young Private Equity Leaders/YPEL of the LPEA. Recently co-authored the article “Significant people functions in Luxembourg’s controlled foreign company rules” (in Revue générale de fiscalité luxembourgeoise, 2020).

Representative Legal Matters

  • Advised a leading Middle East Sovereign Wealth Fund on their investments in various companies and industries (insurance, real estate, banking).
  • Advised CapMan and NH-Amundi on the structuring of their Luxembourg infrastructure fund (regulated SICAR), the acquisition of a 50% stake in a Swedish wind farm, and subsequent investment syndication.
  • Advised Santo Domingo Group on the structuring and implementation of the EUR 14 billion Luxembourg investment platform and the EUR 800 million investment grade Eurobonds listed on the Luxembourg stock exchange.
  • Advised Ambev on the reorganization of their financial function in Luxembourg through centralization and management from Luxembourg of a series of derivative financial instruments and on a joint venture for computer engineering services.
