Biography

Stephanie Phua is a partner in the Corporate, Commercial & Securities Practice Group of Wong & Partners. Stephanie is an experienced partner in the areas of M&A and private equity. She is ranked Band 4 for Corporate and M&A in 2021, having previously been ranked Up and Coming by Chambers Asia Pacific in 2019-2020 and is regarded as a Notable Practitioner for Corporate/M&A by Asialaw Profiles since 2020. Stephanie was also named Dealmaker of the Year at the Asian Legal Business Malaysia Law Awards 2021.

Stephanie is a strong advocate of corporate law in Malaysia. She has been invited to present and moderate events on Malaysian company and corporate legislation including conferences organised by the Companies Commission of Malaysia (CCM), the Malaysian Institute of Chartered Secretaries and Administrators (MAISCA) and the American Malaysian Chamber of Commerce (AMCHAM).

Practice Focus

Stephanie's main area of focus is on mergers and acquisitions, takeovers, private equity investments, and corporate reorganisations. She has undertaken numerous inbound and cross-border transactions in various industries and has represented a large number of leading foreign and domestic multinationals, global and regional PE/VC firms, and prominent Malaysian household brands. Her experience spans all aspects of documentation, negotiation, due diligence and regulatory compliance.

In addition, Stephanie is a key partner in the private equity and reorganisation practices of the Baker McKenzie member firms across China, Hong Kong, South Korea, Vietnam, Malaysia, Singapore and Indonesia, where she helps to develop and implement growth strategies in these practice areas. Stephanie had also worked previously in the Sydney office of Baker McKenzie.

Representative Legal Matters

  • Advised Affinity Equity Partners in connection with its acquisition of a significant interest in Leong Hup International and the subsequent IPO of Leong Hup International.

  • Advised Affinity Equity Partners in connection with its USD 180 million attempted acquisition of INTI University and Colleges.

  • Advised Navis Capital Partners in its divestment of Alliance Cosmetics, a leading regional cosmetics business, to Tokyo Stock Exchange-listed Mandom Corporation.

  • Advised Navis Capital Partners in its disposal of its majority stake in HG Power Transmission to publicly listed Rohas Tecnic Berhad.

  • Advised KV Asia Capital in connection with its acquisition of a significant stake in DXN Holdings Berhad, a global food and nutrition business with a presence in over 60 countries worldwide.

  • Advised KV Asia Capital in connection with its acquisition of TF Value-Mart, a leading hypermarket chain with 32 stores in Malaysia.

  • Advised Nestle (Malaysia) Berhad in connection with its MYR 155.3 million disposal of its chilled dairy and manufacturing business to build the world's largest MILO plant.

  • Advised Alliance Holding Company in its MYR 255 million disposal of Davex Malaysia to Ekuiti Nasional Berhad (Ekuinas).

  • Advised AIA Group Limited's USD 1.8 billion acquisition of ING Group N.V's Malaysian insurance and takaful business. This transaction was awarded SE Asia M&A Deal of the Year 2013 by Asian Legal Business.

  • Advised Mitsui Sumitomo Insurance Co., Ltd. and MSIG Insurance (Malaysia) Bhd in its acquisition of 30% equity interest in Hong Leong Assurance Berhad (HLA) and the entire general insurance business of HLA.
