Biography

Jaime Munro is a transactional lawyer with extensive experience in the areas of mergers and acquisitions, private equity and venture capital transactions, capital markets, corporate finance, securitizations and major infrastructure projects. He provides corporate and securities advice to multinational and Chilean companies. Mr. Munro has presented at a number of conferences on issues regarding M&A, securitization and real estate investments. Jaime has been identified as a leading individual in the fields of M&A and Banking and Finance by Chambers, Legal 500 and Best Lawyers for several years.

Representative Legal Matters

  • Advised Weir on acquiring 50% of Chile-based joint venture ESEL from Elecmetal for USD 75 million, strengthening its mining technology footprint in South America.
  • Advised Ohio National Seguros de Vida in connection with the acquisition of Zurich Chile Seguros de Vida, a life insurance company.
  • Advised Cargill in the acquisition of 24.5% of Salmones Multiexport S.A., including due diligence, drafting and negotiation of preliminary and definitive agreements, and negotiation of JV or Shareholders Agreement with Multiexport and Mitsui.
  • Advised Securitizadora Security S.A. in the structuring, listing and placement of several securitization programs with different types of underlying assets.
  • Advised KGHMI as seller in a private auction process for the sale of Franke and Carlota mining companies.
  • Advised Mantos Copper on the sale of a 30% stake of Mantoverde S.A. to Mitsubishi Materials Corporation, for USD 275 million. This operation, together with the financing for USD 571.6 million, will fully fund the Mantoverde Development Project (MVDP), for a total of USD 847 million.
  • Advised Lafarge Holcim in the preparation and conduction of a private sales process for the sale of a controlling interest in Cemento Polpaico S.A., a Chilean publicly listed company, and the subsequent negotiation and closing of an Agreement to Tender and sale promise to purchase and sell shares with the winning bidder. Value of deal: USD 116 million.
  • Advised Credicorp Capital Asset Management S.A. Administradora General de Fondos in (i) a joint venture with Greystar Real Estate for the acquisition, development, construction and management of residential projects, a business that is relatively new in Chile; (ii) the incorporation, structuring, and financing of several real estate public funds (multifamily, industrial, commercial and others) and (iii) the acquisition of several real estate projects by said real estate public funds, including execution of development and management agreements, as well as other ancillary agreements for the operation of the funds projects.
  • Advised ED&F Man in connection with two simultaneous tender offers for Iansa and Campos (both Chilean listed companies).
  • Advised Walgreens Boots Alliance in connection with the acquisition through a tender offer of Chilean pharmacy chain Farmacias Ahumada (FASA), a listed company valuing approximately USD 638 million.
  • Advised Grupo Security S.A. in the acquisition of local banking branch of Dresdner Bank Lateinamerika through a tender offer process as well as on the acquisition of various insurance companies.
  • Advised Sierra Gorda SCM, held by Quadra FNX Mining in connection with the negotiation and execution of a 251 MW PPA, a Port Services Contract, Project Financing and other material project contracts.
