Carlos is a Partner in the Firm's Corporate and M&A practice in Madrid. He specializes in capital markets, mergers and acquisitions, and general corporate law, advising leading national and international companies across diverse sectors.
Practice Focus
With more than 15 years of experience, Carlos provides strategic advice on complex corporate transactions. He regularly acts on domestic and cross-border capital markets deals, including IPOs, rights issues, and debt offerings, and has been recognized by The Legal 500 as a Next Generation Partner in Capital Markets: ECM. His practice also encompasses extensive experience in private and public M&A, guiding clients through high-profile transactions with a focus on delivering practical, business-oriented solutions.

Capital Markets
- Represented JB Capital on the accelerated bookbuild offering (ABB) of Enerside.
- Represented Minor International in its initial public takeover bid and further delisting takeover bid over the Spanish listed company NH Hotel Group, S.A.
- Represented a syndicate of bookrunners led by Banco Santander on the EUR 150 million share capital increase of Obrascón Huarte Lain, S. A. (OHLA).
- Represented a syndicate of bookrunners led by Banco Santander and Société Générale on the EUR 156 million accelerated bookbuild offering of Millenium Hospitality Real Estate SOCIMI, S.A.
- Represented All Iron RE SOCIMI in its capital raising process and direct listing on BME Growth.
- Represented Santander and Solventis as bookrunners on the accelerated bookbuild offering (ABB) of Greenalia.
- Represented a syndicate of bookrunners led by JB Capital in the IPO of Aspy on BME Growth.
- Represented the Board of Directors of Telepizza in the context of the public takeover bid launched by KKR.
Private M&A/Investment Rounds
- Represented MHP (Ukraine’s largest agribusiness Group) on the acquisition of UVESA, a Spanish agri-food company with over 1,500 shareholders.
- Represented Pluxee (a listed spin-off from Sodexo) on the acquisition of Cobee.
- Represented Westinghouse on the acquisition of Tecnatom from Iberdrola, Naturgy and Endesa.
- Represented Sanifit Therapeutics and its selling shareholders on the exit process and sale of the company to Vifor Pharma.
- Represented the financial and institutional investors on the exit process and sale of Origo Biopharma to AgomAb Therapeutics.
- Represented a syndicate of investors led by Asabys Partners in the EUR 30 million Series A investment round of Ona Therapeutics.
- Represented Caixa Capital Risk on the sale process of Scutum Logistics (Silence) to Acciona.
- Represented Afterpay on the acquisition of the Spanish fintech Pagantis.
