Biography

Duffy Lorenz is the chair of the Chicago Transactional Practice Group. She advises clients on complex cross-border transactions and international business matters. Her clients include US multinationals and private equity funds across a range of industries.

Prior to joining Baker McKenzie, Duffy worked in the Hong Kong office of a major international law firm.

Practice Focus

Duffy focuses on cross-border mergers and acquisitions, carve-outs, spinoffs and joint ventures. She also works closely with our cross-border tax team on corporate and supply chain restructurings, post-acquisition integrations, overseas expansion projects and global cash utilization and redeployment projects.

  • Advised a US-listed global healthcare company on a post-acquisition integration in 30+ jurisdictions.

  • Advised Accel-KKR as international counsel on its investment in ToolsGroup B.V., and ToolsGroup’s add-on acquisition of Mi9 Retail’s Demand Management business.

  • Advised Accel-KKR as international counsel on the EUR 380 million Acquisition of Navis from Cargotec.

  • Advised Aucerna as international counsel on the EUR 155 million acquisition of the oil and gas software business from TietoEvry Oyj.

  • Advised a US-listed global medical device company on multiple post-acquisition integrations.

  • Advised Brunswick Corporation as international counsel on the sale of its Life Fitness business.

  • Advised Kofax as international counsel on the purchase of Nuance Communication's imaging business.

  • Advised Thoma Bravo as international counsel on the purchase of Veracode from Broadcom.

  • Advised Digicert as international counsel on the purchase of Symantec Corporation's website security and PKI business.

  • Advised Thoma Bravo as international counsel on the purchase of Lexmark's enterprise software business and subsequent sale of the Perceptive business.

  • Advised Baxter International Inc. on the international aspects of the spinoff of its bioscience business into a new NYSE-listed company, Baxalta Incorporated.

  • Advised Illinois Tool Works Inc. on the global separation of its industrial packaging business and the international aspects of its subsequent divestiture to The Carlyle Group.

  • Advised Kellogg Company as international counsel on its purchase of Pringles from The Procter & Gamble Company.
