Justin C. Liang
Biography
Justin C. Liang is the Head of the Banking & Finance practice group. His banking practice covers advice, negotiation, and documentation for project finance, acquisition finance, structured finance, securitization, asset-based aircraft/ship finance, trade finance, and derivatives. Justin is also experienced in M&A of both normal and troubled financial institutions, including transfers and non-performing loan deals. Justin's securities practice area focuses on international and Taiwan capital markets offerings of equity, equity-linked, and debt securities. Additionally, Justin has been recognized as an Eminent Practitioner by Chambers Greater China, a Hall of Fame individual by The Legal 500 Asia Pacific, and a Highly Regarded individual by IFLR1000 in banking & finance.
Practice Focus
Mr. Liang’s banking practice includes advising on the negotiation and documentation aspect of project financing and other matters related to bank lending or other extensions of credit. He also focuses on M&A transactions of financial institutions and post-acquisition integration. Additionally, Mr. Liang practices in the areas of non-performing loan purchase and sales. He also regularly handles the acquisition of failed financial institutions from Central Deposits Insurance Company. Mr. Liang’s securities practice is focused on international capital markets transactions, including public and private offering of equity, equity-linked and debt securities in connection with financing transactions.

Acting for Kuo Kuang Power Company, jointly developed by Chinese Petroleum Corporation, Meiya Power Company and CTCI Corporation, on its development of the Kuo Kuang 480 MW CCGT Gas-Fired Power Plant in Taoyuan County, Taiwan and its TWD8 billion project financing.

Acting for the Arranger Bank of Taiwan in relation to the providing of syndicated credit facilities to Star Energy Company for its development of the 490 MW CCGT Gas-Fired Power Plant in Changhwa County, Taiwan.

Representation of the lead manager, Yuanta Core Pacific Securities (Hong Kong) Company Limited, in an offering (pursuant to Regulation S) of Euro convertible bonds by a leading Taiwanese designer and producer of digital cameras. The Euro convertible bonds are listed on the Luxemburg Stock Exchange. Proceeds: USD60 million.

Representation of the lead managers, GC Capital (Asia) Limited and Polaris Securities (Hong Kong) Limited, in an offering (pursuant to Regulation S) of Zero Coupon Convertible Bonds due 2008 by a Taiwanese manufacturer and distributor of metal and plastic packaging materials for food and beverage and electronic components. The Zero Coupon Convertible Bonds are listed on the Luxemburg Stock Exchange. Proceeds: USD20 million.
