Biography

Justin C. Liang is a member of the Firm's Banking & Finance and Securities practice groups. He regularly speaks at conferences on project financing, securities, bank lending and other extensions of credit matters. He also contributes articles to various publications on issues related to his area of practice. Mr. Liang earned his LL.B. from the National Taiwan University and received his LL.M. from the Graduate Law School of Soochow University. He is admitted to practice law in ROC courts.

Practice Focus

Mr. Liang’s banking practice includes advising on the negotiation and documentation aspect of project financing and other matters related to bank lending or other extensions of credit. He also focuses on M&A transactions of financial institutions and post-acquisition integration. Additionally, Mr. Liang practices in the areas of non-performing loan purchase and sales. He also regularly handles the acquisition of failed financial institutions from Central Deposits Insurance Company. Mr. Liang’s securities practice is focused on international capital markets transactions, including public and private offering of equity, equity-linked and debt securities in connection with financing transactions.

  • Acting for Ho-Ping Power Company, jointly developed by Taiwan Cement and China Light & Power International, on its development of the Ho-Ping 1320 MW Coal-Fired Power Plant in Hualien County, Taiwan and its TWD32.3 billion project financing.
  • Acting for Ever Power IPP Company, jointly developed by Ever Fortune, Marubeni and Singapore Power, on its development of a 960 MW CCGT Gas-fired Power Plant in Taoyuan County, Taiwan and its TWD14.2 billion project financing.
  • Acting for Evergreen group on its acquisition of the Hsin Tao 600 MW CCGT Gas-Fired Power Plant in Hsinchu County, Taiwan and its TWD10.3 billion project financing.
  • Acting for Kuo Kuang Power Company, jointly developed by Chinese Petroleum Corporation, Meiya Power Company and CTCI Corporation, on its development of the Kuo Kuang 480 MW CCGT Gas-Fired Power Plant in Taoyuan County, Taiwan and its TWD8 billion project financing.
  • Acting for Chiahui Power Company on its development of the 670 MW CCGT Gas-fired Power Plant in Chayi, Taiwan and its project financing.
  • Acting for the Arranger Bank of Taiwan in relation to the providing of syndicated credit facilities to Star Energy Company for its development of the 490 MW CCGT Gas-Fired Power Plant in Changhwa County, Taiwan.
  • Representation of the lead manager, Yuanta Core Pacific Securities (Hong Kong) Company Limited, in an offering (pursuant to Regulation S) of Euro convertible bonds by a leading Taiwanese designer and producer of digital cameras. The Euro convertible bonds are listed on the Luxemburg Stock Exchange. Proceeds: USD60 million.
  • Representation of the lead managers, GC Capital (Asia) Limited and Polaris Securities (Hong Kong) Limited, in an offering (pursuant to Regulation S) of Zero Coupon Convertible Bonds due 2008 by a Taiwanese manufacturer and distributor of metal and plastic packaging materials for food and beverage and electronic components. The Zero Coupon Convertible Bonds are listed on the Luxemburg Stock Exchange. Proceeds: USD20 million.
  • Representation of the lead manager, National Securities (Asia) Limited, in an offering (pursuant to Regulation S) of Zero Coupon Convertible Bonds due 2007 by a Taiwanese producer of optical components, finished optical and opto-electronic products. The Zero Coupon Convertible Bonds were listed on the London Stock Exchange. Proceeds: USD60 million.
  • Representation of the issuer, a Taiwanese financial institution, in an offering (pursuant to Rule 144A and Regulation S) of Zero Coupon Convertible Notes due 2004 lead managed by Goldman Sachs International and China Development Industrial Bank. The Zero Coupon Convertible Notes were listed on the Luxembourg Stock Exchange. Proceeds: USD450 million.
