Biography

Zain Kazmi is an associate in the Employment & Compensation Practice Group in Baker McKenzie’s New York office. Prior to joining the Firm, Zain worked for another international law firm where he advised clients on executive compensation and employment issues in M&A transactions.

Practice Focus

Zain assists multinational companies in the design and implementation of global equity programs, including dealing with issues such as cross-border tax obligations, data privacy, securities law compliance, exchange control, and labor law.

He also counsels clients on the effects of mergers, reorganizations, spin-offs or other corporate adjustments in relation to their benefit and equity compensation programs.

Buy-Side Transactions

  • TPG Capital and Welsh, Carson, Anderson & Stowe in the USD 4.1 billion acquisition of Kindred Healthcare (a take-private transaction).
  • TPG Capital and Welsh, Carson, Anderson & Stowe, with Humana, in their USD 1.4 billion acquisition of Curo Health Services.
  • Sun Life Financial Inc. in its USD 2.475 billion acquisition of DentaQuest.
  • Elliott Management in its USD 683 million acquisition of Barnes & Noble (a take-private transaction).
  • Resolution Life, a global life insurance group focusing on the acquisition and management of portfolios of life insurance policies, in its USD 1.25 billion acquisition of Voya Financial’s individual life in-force business.

Sell-Side Transactions

  • Kindred Healthcare in the sale of its RehabCare business line, a provider of contract therapy services in 43 states, to Select Rehabilitation, a leading provider of contract rehabilitation services. 
  • Kindred Healthcare, a TPG portfolio company and leading specialty hospital company delivering acute health services, in its sale to LifePoint Health, a leader in the delivery of community-based care. 
  • InterXion in its combination with Digital Realty, valuing InterXion at USD 8.4 billion.
  • Tribune Media Company on its USD 3.9 billion sale to Sinclair Broadcast Group, Inc. in a transaction valued at nearly USD 6.6 billion.

Post-Signing/Closing Compensation and Employee Items

  • A portfolio company of a private equity sponsor. Primary responsibility for drafting (i) profits interest plan, (ii) profits interest award agreements, (iii) common unit and restricted common unit subscription agreements, (iv) partnership agreement, (v) management LLC agreement, and (vi) related board resolutions. Provided day-to-day guidance for administration of the equity incentive plan (i.e., terminations of employment, repurchases, etc.). Managed securities compliance pursuant to Rule 701 and Regulation D.
