Biography

Frank Jin is a special counsel in Baker McKenzie’s Hong Kong office and a member of the firm's Private Equity and Mergers & Acquisitions practice groups. His practice focuses on advising private equity sponsors, sovereign and pension funds, private capital investors and multinationals on a wide variety of corporate matters including private equity, M&A, joint ventures, growth capital and general corporate transactions, with extensive experience in cross-border transactions across Asia Pacific. 

Earlier in his career, Frank has spent time on secondment at Ant Group (蚂蚁集团). 

Representative Legal Matters

Prior to joining Baker McKenzie, Frank handled the following matters:

  • Advised Permira on various transactions, including on the lifecycle of its investment in the Tricor business which included the LBO of Tricor following a competitive auction process (being Permira’s first deal in Greater China), subsequent bolt-on transactions and the auction sale to Barings Private Equity Asia, and the disposal of its co-control stake in Grobest.
  • Advised Ontario Teachers’ Pension Plan on various transactions, including the acquisition of a co-control stake in GPA Global from EQT and various co-investments / minority investments.
  • Advised Affinity Equity Partners on the lifecycle of its investment in the Trimco business, including the LBO of Trimco from Partners Group following a competitive auction process and the sale to Brookfield Asset Management.
  • Advised Alibaba (9988.HK) on the merger of its Ele.me and Koubei businesses and USD 3+ billion Series A fundraise (with Softbank as the lead investor).
  • Advised Mars on its significant investment (as lead Series C investor) into a PRC veterinary care business, Ringpai.
  • Advised CK Hutchinson (0001.HK) on the merger with Ooredoo of their respective telecom businesses in Indonesia (H3I and Indosat).
  • Advised UBS its merger with Credit Suisse, including overseeing the APAC corporate and transfer workstreams covering 12 key jurisdictions.
  • Advised Synagistics (2562.HK) on its HK De-SPAC transaction with HK Acquisition Corp (7841.HK) being the first completed in HK.
  • Advised Quadria Capital on the auction sale of its stake in FV Hospital in Vietnam to Thomson Medical.
  • Advised Tai Ping Carpets (146.HK) on its sale of its global commercial carpets business to TCM Corporation (formerly Thailand Carpet Manufacturing).
  • Advised LVMH on the sale of DFS’s Greater China travel retail business to CTG Duty Free.
  • Advised AustAsia (2425.HK) on its acquisition of the Greater China dairy business of Fonterra and Abbott.
  • Advised China Media Capital led consortium on its acquisition of a substantial stake in Shaw Brothers (953.HK).
  • Advised Goldman Sachs Asset Management on various minority investments, for example its Series F investment in Beisen (9669.HK).
