Sirapob Heammakorn
Biography
Sirapob is a partner at Baker McKenzie’s Bangkok office, where he has been practicing since 2013. He is active across various areas of the corporate and commercial practice, with a strong focus on mergers and acquisitions across multiple sectors, real estate, government contracts and bidding, as well as corporate and shareholder contentious matters. Sirapob regularly advises multinational clients on M&A, corporate structuring, restructuring, investments, business integration, foreign shareholding, distribution models, government bidding, and shareholder disputes. Prior to joining Baker McKenzie, he practiced at a local firm with offices in both Bangkok and Myanmar.
Practice Focus
Sirapob advises on commercial matters, business structures, and regulatory issues, including contracts, real estate, and insurance. He leads corporate transactions such as incorporation, liquidation, and M&A, supported by thorough legal due diligence in corporate law, labor, and licensing. He also advises on commercial contracts, government contracts, public bidding processes, and shareholder disputes, as well as regulatory and compliance matters, including in the areas of consumer protection, telemarketing, and industrial standards. Throughout his career, he has built a strong background and gained experience in many industrial sectors, such as consumer goods and retail, food and beverage, hotels and resorts, industrial, manufacturing, and transportation.
Representative Legal Matters
- Assisted a Thai department store chain in the competitive bidding process for acquiring a foreign supermarket chain operating across Southeast Asia—one of Asia’s largest acquisitions in 2020.
- Advised a leading international fast-food franchisor in Thailand on a business remodeling and refranchising as well as a series of its disposal of more than 400 quick-service restaurant outlets to major franchisees via bidding processes—one of Thailand’s largest disposal in the food and beverage sector.
- Assisted a Thai state-owned, SET-listed oil and gas company in acquiring a minority equity stake in an Indonesian technology company specializing in travel and ticketing.
- Advised a Thai state-owned, SET-listed oil and gas company on negotiating the conversion of Series D shares and investing in Series E rounds of a high-growth logistics company, a rising star in the online platform space.
- Advised a prominent global food and beverage manufacturer, exporter, and distributor in its complex shareholder disputes in Thailand and led a global strategy to support on the disputes in international jurisdictions.
- Assisted a joint venture between a leading investment firm and a multinational conglomerate in the full acquisition of two major cogeneration power plants in Thailand.
- Advised a Thai state-owned, SET-listed oil and gas company on its Series D and Series E investments in a holding company of one of Thailand’s first and most successful logistics unicorns.
- Advised Thai shareholders of a South Korean-based fried chicken restaurant franchise (operating over 40 outlets) on the sale of shares to a multinational company via a bidding process.
- Advised a prominent Hong Kong-based food franchisee and operator on the structuring and execution of joint ventures with strategic partners to establish multiple joint venture entities to enter the Thailand market and the launch of several restaurant brands and outlets.
- Assisted an Asian private investment group and its insurance subsidiary with a prime land acquisition in downtown Bangkok.
