Biography
David Gutierrez is an associate in the Transactional Practice Group of Baker McKenzie’s Miami office. David advises multinational companies on spin-offs, carve-outs, cross-border mergers and acquisitions, and pre- and post-transaction corporate reorganizations. He advises clients in the healthcare, technology and manufacturing industries, among others.
Practice Focus
David works with clients on a range of corporate and transactional matters, including carve-outs, corporate reorganizations and other complex cross-border transactions. He also works closely with our cross-border tax team on corporate restructurings, post-acquisition integrations, global cash utilization projects and legal entity rationalizations.
Representative Legal Matters
- Advised HARMAN on its USD 375 million carve-out sale of its Digital Transformation Solutions business to Wipro.
- Advised Baxter International on its USD 3.8 billion carve-out sale of its Vantive Kidney Care Segment to Carlyle.
- Advised Orora Limited on its USD 1.775 billion carve-out sale of its packaging solutions business to Veritiv / CD&R.
- Advised AbbVie, Inc. on its post-acquisition integration of Allergan.
- Advised AbbVie, Inc. on multiple corporate restructurings and legal entity rationalization transactions.
