Biography

Carla Figallo is a senior associate and experienced in mergers and acquisitions, corporate law and advisory, shareholders conflicts, private and foreign investment. She has participated in deals and transactions for the acquisition and selling of companies, real state, assets and share interests, including mergers, spin offs and reorganizations in several sectors of the economy and market. Her experience also includes the advisory to national and foreign companies in all corporate and commercial matters, focusing on the corporate maintenance for companies, negotiation and drafting of commercial agreements. She also has background in due diligence projects as well as in advising foreign entities and companies for the registration of their investment in the country and the subscription of Legal Stability Agreements.

Representative Legal Matters

  • Advised Peruvian subsidiary Alvi Peru S.A., the principal company of Mayorsa S.A., in the acquisition of Alvi Supermercados S.A., Chile.

  • Advised Inaer Aviation International, S.L.U. in the acquisition of the aviation company Coyotair Peru S.A.C. and helped draft the shareholders' agreement.

  • Advised Talma Servicios Aeroportuarios S.A., leading company in airport services in Peru, in the acquisition of 100% of Aeropuertos del Peru and 51% de Swissport GBH Peru S.A.

  • Advised Citibank in bond issuance of Corporacion Lindley S.A.

  • Advised in selling majority interest of Haug S.A., a leader company in the metal-mechanic sector, to Benito Roggio e Hijos S.A., one of the principal construction companies in Argentina.

  • Advised in the acquisition of preferential shares representing 49% of the capital stock of Instituto de Creatividad y Negocios S.A.C., holding company of Toulouse-Lautrec group, by Compass Fondo de Inversion de Capital Privado I, administrated by Compass Group SAFI and Fondo Mezzanine Summa, administrated by Summa SAFI .
