Biography

Chirouette is an associate at Helmy, Hamza & Partners, Baker McKenzie Cairo. She focuses on mergers and acquisitions, corporate advisory, restructuring, banking and finance, and capital markets. She has experience in equity and asset acquisition transactions’ advisory, including the drafting and negotiation of share purchase agreements, shareholders’ agreements, joint venture agreements and all ancillary transaction documents.

Chirouette has further experience in advising on banking related laws and regulations, she offers advisory related to structured finance companies providing non-banking services and advises on the regulatory requirements and commercial agreements related to such activities including financing, financial leasing, consumer finance, fin-tech and mortgage finance.

Chirouette provides strategic advice on all matters related to general corporate expansion into the Middle East, in particular Egypt and the European Union (France). Her practice area encompasses onshore and offshore structures, as well as, cross-border transactions.

Chirouette has remarkably participated in the drafting of a book titled “Brussels I Bis Regulation and Special Rules: Opportunities to enhance Judicial Cooperation.”

Representative Legal Matters

Before joining the Firm, Chirouette worked on the following transactions:

  • Advised Eagle Chemicals on the MTO for the acquisition of Pachin.

  • Advised Fine Hygienic Holding on the acquisition of Easy Care for cosmetics and New Easy for cosmetics.

  • Acted as legal counsel and advising the Sovereign Fund of Egypt’s Healthcare & Pharma Sub-fund (TSFE) on the investment of a minority stake in B Healthcare Investments, including conducting legal due diligence on the target and drafting and negotiating all transaction documents.

  • Advised Kuwait Food Company (Americana Group) on all local law aspects, including carrying-out the due diligence on the Group’s Egyptian assets, for the purposes of the dual listing on the ADX and Tadawul.

  • Advised Sanlam Life Insurance on the acquisition of Allianz Insurance’s Egyptian assets.

  • Advised the MLAs on Egyptian Law aspects regarding USD 1.1 billion bridge facility agreement and revolving credit facility agreement, in order to pay off part of the existing debts of Fertiglobe Group and the general corporate purposes of the group.

  • Advised Compass Capital in their investment and acquisition of Bonyan the owning company of Designopolis commercial and administrative building in Sheikh Zayed.

  • Represented Catalyst partners in relation to the acquisition of a financial services group.

  • Advised on the Acquisition of 70% of Trillium LLC Company & Petals LLC Company.

  • Advised Acwa Power Company on the 200MW solar photovoltaic independent power production project at Kom Ombo, Egypt.

  • Advised on the Amended and Restated Agreement between the Egyptian National Railways Authority and the Hungarian Export-Import Bank, in relation to the Credit Facilities Agreement for the supply of 1350 new railway coaches for an amount of EUR 1,039,846,250, as well as advising the Heximbank on the required governmental approvals. The facilities provided are guaranteed by a sovereign guarantee provided by the Egyptian Ministry of Finance representing the Arab Republic of Egypt.

  • Advised Pharos Microfinance (Kashat) on Bridge Round and Series A Round.

  • Advised Tiger Global on the Seed Funding Round II of Axis Market B.V, a leading online brokerage firm.

  • Advised Tiger Global on the Seed Funding Round II of Axis Pay.
