Biography

Michael (Mike) Dvoracek is a senior associate in Baker McKenzie's Chicago office. He joined the Firm in 2013 and has practiced as a member of the Firm’s Global Transactional Practice Group and Global Funds Group since 2018.In addition to his primary practice focus in the funds and asset management space, Mike regularly participates in pro bono projects focusing on domestic and cross-border social justice initiatives.

Practice Focus

Mike focuses his practice on private equity fund formation with a particular emphasis on real estate funds and related transactions. He advises private equity fund managers on structuring, formation and marketing matters in connection with establishing private equity funds, as well as regulatory compliance, operational and corporate governance matters that arise from the operation of such funds. Moreover, Mike has significant experience counseling fund managers with respect to GP-led liquidity solutions, which may involve the restructuring, rollup and/or recapitalization of funds, JVs and their respective underlying assets. Mike also advises investors on fund investments and co-investments and he has related experience with investment adviser and broker-dealer regulatory compliance, real estate joint ventures, and mergers and acquisitions related to asset managers and other stakeholders involved in the alternative investment industry.

Representative Legal Matters

  • Transaction counsel to alternative real estate fund sponsor concerning the issuance of a series of four "qualified opportunity zone" (QOZ) funds and several other real estate funds that have collectively raised USD 2.5 billion in capital commitments supporting multifamily real estate development valued at over USD 4-5 billion.
  • Primary fund counsel to institutional fund sponsor with respect to the issuance and operation of a series of open-end and closed-end real estate funds, fund-of-funds and real estate joint ventures.
  • Transaction and regulatory counsel to real estate fund sponsor in connection with their rollup of 60 real estate assets into a new open-end real estate fund involving real estate assets valued at USD 2-3 billion.
  • Transaction counsel to real estate development company in connection with GP-led restructurings, recapitalizations and refinancings comprising greater than 50 industrial estate assets valued at over USD 5 billion.
  • Transaction counsel to a high-volume alternative real estate fund sponsor in connection with the acquisition and financing of nearly USD 2 billion in real estate assets and the issuance of over two dozen Delaware statutory trust (DST) offerings that have raised nearly USD 700 million in equity on a Code Section 1031-incentivized basis.
  • Regulatory counsel to non-U.S. investment advisers with respect to their ongoing compliance with applicable U.S. law and regulations and their global fundraising efforts.
  • U.S. fund counsel to Asia Pacific-based fund sponsor regarding the issuance of multiple Pan-Asian real estate and credit funds that have raised over USD 5 billion in capital commitments.
  • Counsel to U.S. and non-U.S. family offices and sovereign wealth funds in relation to the evaluation and negotiation with respect to the terms of their participation in U.S. real estate and private equity funds.
