Biography

Elodie Duchêne is a partner in the M&A and Corporate practice groups of Baker McKenzie's Luxembourg office Prior to joining the Firm in 2015, she worked for an independent law firm in Luxembourg for nine years.

Practice Focus

Elodie focuses on domestic and international M&A and practices mainly in the area of corporate law. She advises local and international clients on the structuring of international transactions, corporate finance, and on complex issues relating to mergers and acquisitions, group reorganizations and the setup of company structures in Luxembourg. She routinely works with private equity funds on the structuring of their investments, and has significant experience in advising international clients, including Luxembourg banks and insurance firms, on acquisitions, joint ventures and management incentive plans. In addition, Elodie has experience in structuring private wealth for high-net-worth individuals. She is ranked by Chambers Europe and Chambers Global for Corporate/M&A in Luxembourg and recognised by Leaders League for M&A, Private Equity, Wealth Management and Restructuring & Insolvency.

Representative Legal Matters

  • Advised a Luxembourg IT company on the establishment of a joint venture-like IT alliance with another Luxembourg company to provide computing solutions to both SMEs and large companies and organizations in Luxembourg and the Greater Region.
  • Assisted a global energy company with the acquisition and financing of offshore wind projects and pipelines projects.
  • Regularly advises clients in the acquisition of real estate located in Luxembourg and related holding and financing structuring.
  • Regularly advises clients on corporate solutions and structuring for high-net-worth individuals.
  • Advised a major asset manager on the Luxembourg legal and tax aspects of the implementation of a management incentive plan for the top management of a French packaging manufacturer for the cosmetics and pharmaceutical industries.
  • Regularly assists private equity houses in their acquisitions and related holding and financing structuring.
  • Advised a major player in the private equity field on the EUR 4 billion acquisition of a 20% stake in a Spanish listed company.
  • Regularly advises major groups facing financial pressure on both their financing and restructuring activities and assists and advises international companies with corporate governance matters.
  • Advised a major private equity house on the acquisition of a healthcare business and related Luxembourg holding financing and incentive structuring.
  • Advised a major player in the private equity field on the Luxembourg aspects of a complex restructuring relating to its investment in a Spanish listed energy company.
  • Advised a major private equity house on a cross-border internal reorganisation following a significant transaction in the healthcare sector.
  • Advised a global private equity sponsor and its portfolio company on a multi-jurisdictional carve-out and restructuring-driven M&A transaction.
  • Advised a major international utilities company on the Luxembourg corporate structuring of an issuer in connection with a significant sustainable finance transaction.
  • Advised an international venture capital investor on a minority investment in a Luxembourg technology company active in artificial intelligence and life sciences.
