Abhishek Dubé

Abhi advises clients on the legal, regulatory and commercial issues arising throughout the lifecycle of franchise, distribution and licensing systems. His practice includes the structuring, development, acquisition and operation of franchise, dealer and distribution networks; the negotiation of complex manufacturing, supply, licensing, services and other strategic commercial agreements; and domestic and cross-border joint ventures, strategic alliances and mergers and acquisitions. He also advises on domestic and international franchise disclosure, registration, relationship laws and regulatory compliance, as well as international market entry, re-franchising and cross-border expansion throughout North America, Latin America, Europe, the Middle East, Africa, Asia and Australia.

• Represents one of the world's largest franchise systems in complex cross-border strategic initiatives, including global expansion, market entry and exit, re-franchising, acquisitions, franchisee relationship matters, and compliance with franchise, distribution and commercial laws across numerous jurisdictions.
• Advises clients on domestic and international expansion through a broad range of business models, including single-unit franchising, multi-unit development, area development, master franchising, sub-franchising, licensing, joint ventures, dealer and distribution systems, agency models and other strategic market entry structures.
• Advises multinational companies through complex cross-border regulatory, geopolitical and operational challenges affecting international expansion, including sanctions, political instability, market exits, franchise restructurings and evolving legal and regulatory frameworks. 
• Coordinates multijurisdictional legal teams advising multinational companies on international expansion, regulatory compliance and commercial matters across North America, Latin America, Europe, the Middle East, Africa and Asia-Pacific.
• Represents leading restaurant brands in airport concession, licensing and franchise expansion initiatives throughout the United States.
• Advises global hospitality brands on hotel franchising, licensing and expansion throughout Asia and other international markets.

Commercial Transactions

• Represents multinational companies in negotiating sophisticated manufacturing, supply, distribution, licensing, technology, services and other strategic commercial agreements supporting domestic and international operations.
• Represents clients in strategic commercial transactions, supply chain arrangements, joint ventures, strategic alliances and other cross-border commercial relationships supporting global growth initiatives.
• Represents multinational companies in negotiating complex commercial agreements supporting digital transformation, technology implementation and global operations.
• Represented a global renewable energy company in connection with the acquisition and operation of multiple U.S. wind turbine blade manufacturing facilities, negotiating long-term manufacturing, supply and strategic commercial agreements supporting utility-scale renewable energy projects.

Mergers & Acquisitions

• Represented a publicly traded industrial technology company in its approximately USD 1.2 billion acquisition of a leading technology company, advising on complex commercial agreements and strategic transaction matters.
• Represented a multinational technology company in its acquisition of a leading workplace technology company, advising on complex commercial agreements supporting the transaction and continuing to advise on worldwide franchising, licensing and commercial regulatory matters.
• Represents private equity sponsors and strategic investors in domestic and cross-border acquisitions involving franchise, dealer, distribution and multi-unit business models, advising on commercial contracts, regulatory issues, transaction structuring and post-closing integration.
