Biography

Juan Diego Carrillo is an associate who has six years' experience working in the Firm's dispute resolution practice, with a special focus on corporate and civil disputes.

He graduated second in his class from Universidad de Lima and obtained his law degree, summa cum laude, with the thesis "Use of Special Committees to Mitigate Conflicts of Interest in the Board of Directors in Conflicting Transactions."

Practice Focus

Juan Diego has experience in civil, commercial and administrative litigation, as well as national and international arbitration, in civil, corporate, maritime trade and construction matters, and in the use of alternative dispute resolution methods.

He focuses his practice on corporate disputes, both in court and arbitration. His experience in this area includes developing strategies for shareholders to recover control of their companies, defending companies against actions challenging corporate agreements, as well as initiating and defending against other legal actions in corporate matters.

He has participated in negotiating, structuring and closing out-of-court transactions in both civil and corporate matters, including transactions involving companies domiciled in other jurisdictions.

He also has experience in civil disputes, including disputes involving claims for the obligation to pay a sum of money, nullity of a legal act, enforcement of an award, enforcement of securities, recognition of a foreign judgment, property claims, injunctions to recover and retain, and bankruptcy, among others.

Representative Legal Matters

  • Advised the majority shareholder of a company in the construction sector on legal strategy to obtain a precautionary measure to suspend the general manager and recover the management of the company.

  • Represented the majority shareholder of a company in the energy sector in three lawsuits and three arbitration proceedings initiated by the minority shareholder to challenge its acquisition of the company's shares, as well as the corporate resolutions adopted after it took control of the company.

  • Advised a shareholder of a mining company in the negotiation and execution of an out-of-court transaction to resolve an 11-year-old shareholder dispute that had resulted in more than 13 lawsuits for nullity of corporate agreements and directors' liability.

  • Advised the majority shareholder of a company in the energy sector on negotiating and executing an out-of-court settlement to put an end to a corporate conflict with the minority shareholder. This allowed the majority shareholder to acquire 100% of its stake and put an end to multiple legal proceedings — including one in which the counterparty had been granted an injunction — as well as local and foreign arbitrations and criminal complaints against the company's administrators.

  • Represented a company in the private security sector in its defense against three civil lawsuits — and an injunction granted in one of them — brought by its former general manager to force his reinstatement.
