Eddie Prabowo Dewanda

Eddie has extensive experience in advising and assisting international and local banks as well as other financial institutions in relation to M&A, spin-off, business transfer, product regulatory compliance, institution regulatory compliance, fintech, and payment systems. This includes preparing deal structures (including target companies' internal governance structures and shareholders governance systems), conducting due diligence on target companies, and preparing and negotiating transactional documents, such as sale and purchase agreements, business transfer agreements and shareholders' agreements.

Eddie also has extensive experience in assisting and advising lenders and borrowers in various types of lending and borrowing transactions (single lender or syndicated lenders). This includes preparation and negotiation of facility agreements, security sharing agreements and other relevant security documents. Eddie has also advised international banks on derivative products.

Eddie has been recognized in Asian Legal Business's 2022 Asia's 40 under 40. • Represented MUFG Bank in relation to the acquisition of Temasek's (via Asia Financial (Indonesia) Pte.Ltd.) interest in Indonesian publicly listed PT Bank Danamon Indonesia Tbk. This deal received recognition including 2018 M&A Deal of the Year - ALB Indonesia Law Awards and 2018 Best Indonesia Deal - FinanceAsia Achievement Awards.

• Represented Standard Chartered Bank and PT Astra International Tbk in the sale of PT Bank Permata Tbk to Bangkok Bank. This deal received recognition including 2020 M&A Deal of the Year - ALB Indonesia Law Awards and May 2020 Deal of the Month by AsiaLaw.

• Represented HSBC and PT Bank HSBC Indonesia (formerly PT Bank Ekonomi Raharja Tbk) in relation to the integration of the businesses of the two banks which would consolidate HSBC’s banking business in Indonesia.

• Represented PT Bank Permata Tbk in its integration with Bangkok Bank branches in Indonesia.

• Represented the Bank of Yokohama in the acquisition of a controlling stake at PT Bank Resona Perdania.

• Represented Funding Asia Group Pte Ltd, the owner of P2P lending platform Modalku, in its strategic investment in PT Bank Index Selindo.

• Represented PT Bank Permata Tbk in the partial divestment of its shares in PT Sahabat Finansial Keluarga (a multifinance and credit card issuer) to Honest Financial Technologies International Private Limited, a fintech company based in Singapore.

• Represented Medco and its subsidiaries as the borrowers and sponsors in a USD 500 million reserve-based lending transaction, the largest reserve based lending transaction in Asia in 2018. This deal received recognition including 2019 Asia Law Business South East Asia Debt Market Deal of the Year (Midsize) and the Asset Tripe A Asia Infrastructure Awards 2019: Oil and Gas Award for Indonesia.

• Represented an Indonesian property development company as the borrower in a club deal lending transaction valued at the equivalent of USD 300 million with one Indonesian and several Singaporean banks for the purpose of constructing a multipurpose high rise building in a prime area of Central Jakarta.
