Practice Focus
Eduardo's practice focuses on advising multinational companies in major projects including corporate reorganizations, mergers and acquisitions, as well as providing tax planning advisory in complex tax issues.
Eduardo's practice focuses on Mexican taxes including corporate and personal income tax, value added tax and excise taxes. His long professional experience reinforced with an LLM with tax specialization at the University of California has also made Eduardo experienced in international taxation, including double taxation treaties, the Multi-Lateral Instrument, BEPS pillars 1 and 2, the commentaries by the OECD and UN to model tax conventions, among other issues.
Representative Legal Matters
- Advised dozens of clients on Ultimate Beneficial Owner provisions, helping them identify their Ultimate Beneficial Owners and prepare the documents required to comply with such obligations.
- Led the legal and tax advisory of a US multinational for the acquisition of a Mexican entity, including planning and implementation.
- Actively participated in a major multinational restructure of Baxter, leading the implementation from a tax perspective in Mexico and participating in the coordination of the implementation in several other countries in Latin America.
- Actively participated in the tax planning and implementation in Mexico of a multinational restructure carried out by Bristol Myers Squibb.
- Actively participated in a major restructuring of an oil and gas multinational company with mergers, dividends, and transfers of shares involving 15+ Mexican subsidiaries, leveraging expertise in Mexican and international tax.
- Advised on the planning and compliance of Mexican tax obligations in Mexico more than 10 sales/transfers of shares in Mexican entities by non-Mexican residents.
- Advised several digital economy companies on tax implications of their operations in Mexico.
- Successfully advised foreign high-net-worth clients on wealth management issues, creating a tax-efficient investment-holding structure.
- Advised a US capital investment agency to design a trust-based model to raise US and Mexican capital to build 15 hotels in Mexico for a well-known North American hotel chain.
- Regularly provides tax consulting services from a Mexican tax perspective to multinationals.
Corporate Responsibility
- Provided a conference to small entrepreneurs as part of a program by Centro Mexicano Pro Bono (2023)
- Advised ACNUR to set up a tax structure aimed to support migrant refugees (2019)
