Refentse Chuene
Biography
Refentse Chuene is a senior associate in Baker McKenzie's Corporate M&A Practice Group in Johannesburg.
Refentse advises and assists on high value and complex public and private mergers and acquisitions, global and local restructures, Broad-Based Black Economic Empowerment (B-BBEE) transactions, private equity transactions, capital markets, data privacy matters and general corporate governance.
He has represented and advised a variety of local, multinational and listed clients across various industry sectors including consumer goods & retail, energy, mining & infrastructure, private equity, education and technology.
Representative Legal Matters
- Advised Blue Horison 39 (RF) (Pty) Ltd, the indirect B-BBEE shareholder of Rio Tinto, on the restructuring of its shareholding.*
- Advised both lenders and borrower’s on the corporate side of a large number of renewable energy projects, including drafting and negotiating constitutional documents for the relevant project companies.*
- Advised Impala Platinum Holdings Limited in relation to its 2022 convertible bonds offering worth ZAR 1.625 billion.*
- Advised Motion Metrics International Corp on the sale of its business and the Australian, Brazilian, Chilean and South African businesses for a consideration of CAD 150 million.*
- Advised on Phase 2 of Exxaro Resources Limited's replacement empowerment transaction, being the transfer of 10% of Exxaro's shareholding in B-BBEE partner, Eyesizwe (RF) (Pty) Ltd, to the Exxaro ESOP SPV the Exxaro Community NPC respectively.*
- Advised the majority shareholder of Exxaro Resources Limited in relation to the unbundling of its empowerment structure valued in excess of ZAR 8 billion and in relation to the shareholder’s participation in a replacement empowerment transaction for Exxaro Resources Limited valued at approximately ZAR 5 billion.*
- Advised PAPE Fund 3, a private equity fund, on its acquisition of a majority equity interest in Scamont Investment Holdings (Pty) Ltd, a leading African engineering original equipment manufacturer.*
- Advised the Industrial Development Corporation of South Africa in its acquisition of an additional 8.445% of the shareholding in Mozambique's Mozal Aluminum, the largest aluminum smelter in sub-Saharan Africa.*
- Advised the Lafarge group of companies on its compliance with the Protection of Personal Information Act, 2013.*
- Advised the South African Roads Agency Limited in relation to a fine and public censure imposed on it by the Johannesburg Stock Exchange.*
- Advised Zenith Energy Limited in relation to its secondary listing on the Johannesburg Stock Exchange.*
