Biography
Serena is a senior associate in the Taxation team at Baker McKenzie, Sydney. Serena's focus areas include corporate tax matters, and domestic and international acquisitions and reorganisations.
Practice Focus
Serena's practice focuses on Australian taxation and international tax planning related to direct investment in Australia by multinational corporations, as well as tax planning for outbound investment by large Australian enterprises. She has also assisted clients with due diligence for proposed property and business acquisitions, permanent establishment exposure and individual income tax. Serena has advised clients from a broad range of industry sectors including finance, insurance, real estate and manufacturing.
Representative Legal Matters
- Advising multinationals on international tax issues, including royalty withholding taxes, the hybrid mismatch rules, Pillar 2 issues, permanent establishment issues, the multinational anti-avoidance law, the diverted profits tax and the general-anti-avoidance rule.
- Advising on various post acquisition integrations, supply chain restructuring and internal structures for multinationals.
- Representing various multinationals in dealing with Australian Taxation Office risk reviews and audits on a variety of income tax risks.
- Representing various multinationals and high profile individuals in obtaining private rulings and class rulings from the Australian Taxation Office.
- Advising on a highly complex AUD 700 million acquisition and integration of a major Australian ASX-listed multinational into a global multinational technology group involving multiple jurisdictions including providing and coordinating highly integrated tax, duty, GST and transfer pricing advice on all aspects of the transaction.
- Advising Platinum Equity Partners on the acquisition of Sensis from Telstra.
- Advising a US listed pharmaceutical multinational on global demerger of a line of business, including obtaining counsel’s opinion on the application of the general anti-avoidance provisions.
- Advising a major global financial institution on the acquisition of another global institution's finance business.
- Advising on and obtaining a favourable private ruling from the ATO regarding the income tax implications for a leading power producer company in relation to the disposal of a partial interest in an Australian wind farm business, including the application of the general anti-avoidance provisions.
- Acting for the issuer of the first gold derivative in the Australian market, being one of the leading independent providers of exchange traded investment products and with expertise in commodities.
- Advising on innovative financial products, including obtaining rulings in respect of such products.
