Biography

Tomasz Chentosz leads the transfer pricing practice at Baker McKenzie’s Warsaw office. Tomasz is a seasoned expert with over 20 years of experience in tax advisory on the Polish market. 

Practice Focus

Tomasz has significant experience in tax advisory, particularly in terms of planning, assessing and restructuring cross-border business models.

He has also assisted clients in a number of tax audits and disputes with the tax authorities and has represented clients in cases before the administrative courts. He also has considerable experience in representing clients in APA and MAP procedures.

Tomasz has also advised on a number of M&A transactions and international tax law projects.

Tomasz is the author of several publications featured in the daily and specialist press.

Representative Legal Matters

  • Complex tax advice for a leading multinational home appliances manufacturer, which included in particular: (i) restructuring assistance, (ii) representation in APA procedures, (iii) assistance in the MAP, and (iii) managing tax audits in various Polish entities.
  • Advising the Polish manufacturing subsidiaries of a leading multinational group in relation to the reorganization of intercompany services and the licensing model applied in Europe. His assistance included: (i) support in structuring the new model; (ii) drafting new intercompany agreements; and (iii) representation in the APA procedure for the new model.
  • Assistance in reorganizing and representing a global leading electronic appliances producer in APAs with the Polish tax authorities relating to several types of intracompany transactions.Preparing tax efficient transfer of building by foreign investors through structured sale transaction; and tax efficient transfer of profits to sellers.
  • Preparing tax efficient structures for real estate investments involving optimal holding structure, financing structure, and tax effective profit distribution.
  • Restructuring projects aimed at step-up in depreciation base of real estate based on contributions in kind.
  • Provided comprehensive tax reviews in real estate companies and financial institutions.
  • Conducted tax classification and analysis of real estate transactions including sale and lease-back and structured leasing.
  • Provides long-term ongoing tax advisory for several real estate companies and financial institutions.
