Biography

Nadine Charrière is a senior associate in the Intellectual Property and Commercial, Tech & Transactions Practice Group in Baker McKenzie's Zurich office. With Master's degrees in Law and Economics and in International Management, she advises clients across the life sciences and technology sectors on IP, commercial, and technology matters.

Practice Focus

Nadine advises clients on intellectual property and technology matters, with a focus on the life sciences and technology sectors, including AI-related contractual issues and open source. She drafts and negotiates licensing, collaboration, manufacturing, supply, distribution, and R&D agreements, and supports clients on software development and outsourcing projects. She also advises on the IP and technology aspects of M&A transactions, spin-offs, and multi-jurisdictional enforcement strategies.

Representative Legal Matters

  • Advised Swiss and international companies on AI-related legal and commercial matters, supporting the development and implementation of AI solutions, with particular focus on IP considerations.
  • Advised a major Swiss digital platform on technology, software, and IP matters, including software licensing, digital content use, and protection of brand and platform assets.
  • Advised an international company on IT service arrangements covering technology services, system integration, governance of IT environments, and support for core applications and infrastructure.
  • Advised a global pharmaceutical company on a number of licensing and collaboration agreements across its product portfolio.
  • Advised a life sciences company on IP-driven commercial arrangements, including negotiation and refinement of licensing and collaboration agreements and support on product partnerships.
  • Advised international companies on the IP and technology aspects of corporate transactions, including software, licensing framework, and open-source due diligence, and drafting of transitional IP provisions.
  • Advised Swiss and international companies on enforcement actions and strategies against online and offline infringers, including trademark misuse, unfair competition, and digital brand exploitation.

Selected Public Matters

  • Advised Sino Biopharm on its licensing deal with Sanofi for rovadicitinib in consideration of a total payment of up to US$1.53 billion, including an upfront payment of US$135 million plus potential development, regulatory and sales milestone payments, and up to double-digit tiered royalties.
  • Advised LumApps on all IP and IT related matters in legal due diligence for merger with Beekeeper.
  • Advised Arbonia on all IP related matters in the sale of its climate division to Midea Group for EUR 742 million. 
  • Advised CureVac on its licensing deal with GSK for mRNA candidate vaccines for influenza and COVID-19 globally in consideration for EUR 400 million upfront and up to an additional EUR 1.05 billion in milestones as well as tiered royalties.
