Biography

Nadine Charrière is a senior associate in the Intellectual Property and Commercial, Tech & Transactions Practice Group in our Zurich office. She holds Master’s degrees in Law and Economics and in International Management. Drawing on broad international experience across legal and business environments, she brings a cross‑cultural perspective and an informed understanding of business and commercial dynamics.

Practice Focus

Nadine advises clients on intellectual property and technology matters, with a focus on the life sciences and technology sectors. Her practice also covers open source and AI‑related contractual issues as well as IP allocation in international development projects. She drafts and negotiates licensing agreements, collaborations and other IP‑driven commercial arrangements, including manufacturing, supply, distribution and research & development agreements. She additionally supports clients with software development and outsourcing projects, particularly in cross‑border settings.

Nadine advises on the IP and technology aspects of corporate transactions, including mergers, acquisitions and spin‑offs, and frequently works on multijurisdictional matters. Her experience further includes assisting clients with IP enforcement and litigation strategies.

  • Advised an international company on key IT service arrangements, covering areas such as technology services, system integration, governance of IT environments, and support for core applications and infrastructure
  • Advised a technology company on negotiating and coordinating several commercial agreements with major digital platforms, including aligning contractual terms, service frameworks, and operational obligations across multiple partnerships
  • Advised a major Swiss digital platform on technology, software, and IP‑related matters, including support on software licensing, digital content use, and protection of key brand and platform assets
  • Advised Swiss and international companies on AI‑related legal and commercial matters, including supporting the development and implementation of AI solutions, particularly addressing IP considerations
  • Advised a global pharmaceutical company on a number of licensing and collaboration agreements
  • Advised a life sciences company on a range of IP‑driven commercial arrangements, including the negotiation and refinement of licensing and collaboration agreements and support on product‑related partnerships
  • Advised international companies on the technology and IP aspects of corporate transactions, including due diligence on software architectures, licensing frameworks and open‑source usage, as well as drafting transitional trademark and IP provisions and aligning complex platform, data, and intra‑group IP arrangements to ensure seamless post‑closing operations
  • Advised Swiss and international companies on enforcement actions and strategies against online and offline infringers, including trademark misuse, unfair competition, and digital brand exploitation

Selected Public Matters

  • Advised CureVac on its licensing deal with GSK for mRNA candidate vaccines for influenza and COVID-19 globally in consideration for EUR 400 million upfront and up to an additional EUR 1.05 billion in milestones as well as tiered royalties
  • Advised LumApps on all IP and IT related matters in legal due diligence for merger with Beekeeper
