Biography

Alonso Cabalceta Laguna is a mid-level associate in Baker McKenzie’s Corporate / M&A practice group in Mexico City. He holds a Law Degree (2022) and a Specialization in Commercial Entities Law (2023) from Universidad Panamericana. Alonso joined the Firm in August 2025. Prior to joining Baker McKenzie, he worked as a mid-level associate at another law firm, focusing on corporate and mergers and acquisitions matters.

Practice Focus

Since 2019, Alonso Cabalceta has focused on mergers and acquisitions of public and private companies, asset purchases and sales, corporate restructurings, financial transactions, as well as matters related to foreign investment and cross‑border operations.

Representative Legal Matters

  • Provided legal assistance in the purchase and sale of national and international companies across industries such as transportation, energy, telecommunications, technology, real estate, financial services, manufacturing and consumer goods.
  • Advised a Mexican financial institution on a long-term lease transaction, including drafting and negotiation of the lease, sublease and collateral agreements.
  • Advised investment banks, investors, financial advisors and creditors on national and cross‑border transactions, including mergers and acquisitions, asset sales and consolidation processes.
  • Participated in the drafting, negotiation and closing of a secured credit agreement for MXN 380 million, including tranche structuring, review of the guarantee trust and coordination of the notarial and documentary closing.
  • Took part in fiduciary substitution processes, negotiating and drafting amendment and restatement agreements, reviewing collateral conditions and coordinating formalization before a notary public.
  • Assisted various Mexican companies in corporate secretarial matters, including preparation of shareholders’ and board meetings, maintenance of corporate books and implementation of governance resolutions.
  • Provided advice on commercial law matters, including the formation, management and operation of companies, associations and domestic and international joint ventures.
  • Participated in the dissolution and liquidation of multiple companies in Mexico.
