Biography

Tanner Bodine is a partner in Baker McKenzie's Corporate and Securities Practice Group in Dallas.

Practice Focus

Tanner advises on various corporate, securities, finance and other transactional matters. He represents buyers and sellers in a broad range of domestic and cross-border transactions, such as public and private acquisitions, divestitures, mergers and other strategic alliances and has experience advising both strategic and private equity clients. Tanner also represents lenders and borrowers in various commercial loan, asset based and other senior and subordinated loan facilities.

Representative Legal Matters

  • Advised AZZ Inc. on its USD 1.28 billion acquisition of Sequa Corporation’s Precoat Metals business division, a leading independent provider of metal coil coating solutions in North America.

  • Advised Highlander Partners, L.P. in connection with (a) the acquisition of DZYNE Technologies, a high-growth technology firm focused on designing and manufacturing a variety of cutting-edge unmanned aircraft systems, (b) the acquisition of Liteye Systems, Inc., a multi-mission defense company that develops, integrates and manufactures counter unmanned aircraft systems, and (c) the acquisition of Black Sage Technologies, an industry leading multi-mission platform provider of counter unmanned aircraft systems and security solutions for military, internal security and critical infrastructure industries.

  • Represented Thor Industries, Inc., an NYSE-listed multinational manufacturer of recreational vehicles, on its EUR 2.1 billion acquisition of Erwin Hymer Group, a privately held German-based manufacturer of recreational vehicles.

  • Advised Helen of Troy Limited, a NASDAQ-listed designer, developer and worldwide marketer of consumer brand-name housewares, health and home and beauty products, on its (a) USD 255 million acquisition of Drybar Products LLC and (b) USD 414 million acquisition of Osprey Packs, Inc., an industry leader in technical and everyday backpacks, luggage and travel accessories.

  • Advised MiddleGround Capital on (a) its stalking-horse offer to acquire the assets of Shiloh Industries, Inc. a producer of auto body structure, chassis and propulsion systems components and the equity of substantially of its non-U.S. subsidiaries, (b) the divestiture of the Casting business of Shiloh Industries in the U.S., the Netherlands, Poland and China and (c) the divestiture of the Blanking business of Shiloh Industries in the U.S.

  • Represented Crane Co., an NYSE-listed multinational industrial manufacturer, on its USD 800 million acquisition of Crane & Co., Inc., a privately held designer and supplier of secure banknotes.

  • Advised Global Win Capital Corporation, an affiliate of Shanying International Holdings Co., Ltd., in connection with the acquisition of a shuttered paper mill located in Wickliffe, Kentucky, for a total initial investment commitment of USD 166 million.

  • Advised the members of ReSource Pro LLC on the sale of ReSource Pro LLC to RP Acquisition Company, LLC, an affiliate of DFW Capital Partners.

  • Advised THQ Nordic AB, a leading Swedish video game company, in connection with its USD 22.5 million dollar acquisition of Gunfire Games LLC, an Austin-based video game studio.

  • Represented a US public company in connection with its USD 1 billion secured credit facility.

  • Represented a US public company in connection with its USD 886 million senior secured term loan facility and its USD 250 million asset based credit facility.
