Biography

Diego Aznar is a staff attorney in Baker McKenzie's Transactional practice group and is based in the New York office. Diego’s practice focuses on representing public and private companies and financial institutions in cross-border capital markets, private equity, mergers and acquisitions and financing transactions.

Diego's practice mainly focuses on capital markets, private equity, and financing transactions.

He has advised international clients on a wide range of transactional matters. Diego’s experience comprises a broad range of complex commercial transactions, including offerings and private placements of equity and debt securities, public and private assets securitization and asset-backed financings, corporate governance and compliance.

Representative Legal Matters

Prior to joining Baker McKenzie, Diego worked on the following matters:

  • Represented a telecommunications company in its delisting from the Mexican Stock Exchange, its merger with another entity, and the subsequent non-tender offer listing by the merged entity.
  • Represented a special purpose acquisition company (SPAC) in its initial business combination following a successful de-SPAC transaction, and a commercial real estate company in its merger with the SPAC and subsequent non-tender offer listing.
  • Represented an energy company in its USD 650 million IPO—the first listing of a SPAC in Mexico—and in its subsequent USD 92.5 million public offering and listing on the NYSE.
  • Represented a global investment management firm in the establishment of a USD 224 million CERPI issuer trust, with participation from various Mexican pension funds as investors.
  • Represented a financial services firm in the issuance of the first equity Mexican ETF, including FIBRAs.
  • Represented a state-owned utility company in (i) its issuance of USD 525 million certificates offer; (ii) offer to purchase USD 373 million of its outstanding debt securities with the issuance proceeds; and (iii) CFE’s first international sustainable bond offering for USD 1.25 billion (issuance under Rule 144A / Regulation S.).
  • Represented a financial leasing company in a shelf registration for up to USD 300 million and its first issuance thereof for USD 15 million.
