Biography

Alba Anegón is a counsel at the Corporate M&A Department. Before joining Baker McKenzie in 2015, she worked for other prestigious international law firms as a corporate lawyer and has over 20 years of experience. She has also been a lecturer with the Master's Degree in Access to the Legal Profession at the Carlos III University of Madrid since 2015.

She graduated with a law degree from the Complutense University of Madrid in 2001 and has complementary studies in TMT, legal project management and business leadership.

Practice Focus

Her core area of expertise is corporate and M&A law, specifically mergers and acquisitions and private equity. Over the years, she has led and coordinated local and cross-border work teams, mainly in M&A deals. She also served as senior legal project manager, helping to improve the quality, efficiency and execution of projects.

Representative Legal Matters

  • Advised EW Group on the acquisition of Planasa, a global leader in the agritech sector.
  • Advised EDF Fenice Ibérica, S.L.U. on the acquisition of a 55% stake in buildings' domotic and loT services provider Sistrol, S.A. from its existing shareholders.
  • Advised Iberdrola on its alliance with Norway's sovereign wealth fund, managed by Norges Bank Investment Management, to invest in new renewable energy projects in Spain with an aggregate capacity of 1,265 MW. Of the total capacity, 20% will come from wind farms and 80% from solar PV plants.
  • Advised Banco Santander, S.A. and a pool of financial entities in connection with the acquisition by Naturgy (through a newly incorporated SPV named Medina Partnership, S.A.) of shares representing 42% of the share capital of the Spanish company Medgaz, S.A., a company for the design, construction and operation of the Algeria-Europe submarine pipeline, via Spain, owned by Cepsa, S.A.
  • Advised on the acquisition of 4D Pharma Leon, S.L. a biotech company by Bacthera AG, a JV of Chr. Hansen and Lonza Group from 4D Pharma Plc.
  • Advised Portobello Capital on the acquisition of a 35% stake in Torre Oria, S.L. from its former shareholders.
  • Advised the founders of the Spanish company Edoctores Soluciones, S.L. in the sale of their relevant stakes to M3 Medical Holdings Limited, a leading company in the pharmaceutical sector whose parent company is currently listed in the Tokyo Stock Exchange.
