Biography
Mo Almarini is a partner in Baker McKenzie's Corporate M&A Practice Group in Amsterdam. He is a regular speaker at seminars and corporate law courses and conducts workshops on various topics of corporate law.
Mo is recommended as Next Generation Lawyer Commercial, Corporate and M&A Legal 500. He is also consistently ranked for Corporate/M&A: High-end and Mid-Market Capability in Chambers. Chambers reports: "He is praised by clients for being very quick and sharp" (Chambers Global).
Practice Focus
Mo regularly advises on mergers and acquisitions with a special focus on Private Equity. He assists with corporate takeovers, joint ventures and other alliances, for privately and public held corporates as well as for financial sponsors. He has extensive experience in transactions for clients in the technology, manufacturing, (agri)food and energy industries.
Mo has registered the following principal (and secondary) legal practice areas in the Netherlands Bar’s register of legal practice areas Corporate Law.
Based on this registration, he is required to obtain ten training credits per calendar year in each registered principal legal practice area in accordance with the standards set by the Netherlands Bar.
Representative Legal Matters
- Advised Axia Vegetable Seeds Group, Inc. on the sale of 100% of the shares in Axia Group B.V. and its subsidiaries.
- Advised Novonesis on its EUR 1.5 billion acquisition of dsm-firmenich’s share of the Feed Enzyme Alliance.
- Advised and represented Bullhorn, Inc. on the acquisition of 100% of the shares of Textkernel Group Holding B.V. from its shareholders.
- Advised Gruppo MutuiOnline S.p.A. regarding the acquisition of 100% of the shares in Pricewise B.V. and a subsequent re-sale of 20% of the shares in Pricewise B.V.
- Advised Van Merksteijn International B.V. on a joint venture with HW Vermögensverwaltungs-GmbH and HS Vermögensverwaltungs GmbH under which Van Merksteijn will combine its steel business with the Südwest Beteiligungen GmbH's steel business.
- Baker McKenzie advised Proclinic Group (part of Miura Partners) on the acquisition of 100% of the shares in Dentalair Group B.V.
- Recently advised Legrand, a French conglomerate, with its acquisition of Enovation in the Netherlands.
- Advised Wagram Equity Partners on the acquisition of the Creamy Creation business (a manufacturing business in beverages) from FrieslandCampina.
- Advised SCG Chemicals on the acquisition of a majority interest in Kras Recycling.
- Advised EPH Group on the acquisition of the wholesale activities of PZEM and the Sloe power plant.
