Effective 1 July 2026, the Department of Business Development (DBD) under the Ministry of Commerce will implement the incorporation registration of private limited companies only through its electronic registration system, DBD Biz Regist.

The DBD will discontinue walk-in (paper-based) registration services for the incorporation of new private limited companies. From 1 July 2026 onwards, all incorporation applications must be submitted through the DBD’s Biz Regist system.
Notwithstanding the transition to a fully online platform, certain incorporation documents will still require execution by promoters and authorized directors, either by wet-ink signatures or electronic signatures through designated applications (such as DBD e-Service and ThaID), as applicable. Accordingly, where promoters or directors are non-Thai nationals and are required to sign such documents, the process may take longer, and the incorporation registration may not be completed within one day. Advance timeline planning is therefore recommended.
For other corporate amendment registrations (e.g., changes of directors, changes of office address, and capital increases), the DBD will continue to accept paper-based applications for the time being. However, in light of the DBD’s intention to transition fully to an online system for corporate amendment registrations, only a limited number of paper-based applications are accepted per day. It is expected that the DBD will process all corporate amendment registrations only through Biz Regist system soon. We will keep you informed of any further developments.
