Baker McKenzie seeks a junior or mid-level associate focused on transactional executive compensation and employee benefits matters for our Employment & Compensation practice to reside in San Francisco, Palo Alto, Los Angeles, Chicago, NY or Washington, DC.  The ideal candidate will have experience advising companies on executive compensation and employee benefits issues in connection with corporate transactions, such as spinoffs and carve-outs, private equity transactions, public and private company M&A, IPOs, financings and restructurings.  The candidate should have experience with the application of Internal Revenue Code Sections 280G and 409A and the design and implementation of employment, equity other incentive compensation, severance and change in control arrangements. The candidate would focus primarily on transactional work, but also have the option to work on advisory matters for public and private companies.

Candidates must be admitted to and be a member in good standing of the state bar where they intend to practice law and have strong academic credentials and excellent communication, analytical and writing skills.  Candidates must also have the ability to function smoothly in a global team environment with culturally diverse team members.
