Salary Range: Php105,000 to Php119,000
The Corporate Legal Services Lawyer supports the overall operation of the Corporate Legal Services team to ensure the accurate, efficient, and timely delivery of corporate maintenance and other related legal services; recommends and implements processes and measures that will improve and enhance corporate maintenance processes; guides and reviews the work of team from both substantive and procedural aspects, to ensure compliance with legal requirements and high service level; coordinates with various government regulatory agencies on policies and regulatory processes to ensure timely completion of the work of the team.
Responsibilities:
1. Assist the Partner and Head of the Corporate Legal Services in the Corporate & Commercial Practice Group (CCPG) in supervising / overseeing the daily work and performance of CCPG Paralegals and Practice Legal Support (PLS), and ensure efficient and timely delivery of corporate legal services, specifically with regard to:
a. establishment of domestic corporations, and registration of foreign corporations;
b. post-registration and ongoing registration and reporting work for all aforementioned entities including compliance with securities deposit requirements, where applicable, renewal of business permit, and applicable post-renewal requirements;
c. basic amendments to articles of incorporation, by-laws, foreign corporation licenses, and related filings;
d. filing of reports and submissions to the Securities and Exchange Commission (SEC) and other government agencies relating to scope of work of the Corporate Legal Services team;
e. corporate secretarial / maintenance matters, which shall include, but may not be limited to, the following:
- preparation of notices of meetings, waivers, and minutes of meetings of stockholders and board of directors;
- attendance at meetings of directors;
- preparation of certifications relating to audit requests; preparation of the General Information Sheet (GIS) and other documents reporting changes in corporate structure of both domestic and foreign corporations;
- applications for securities deposit, upgrading, and renewal; and
- preparation and maintenance of Stock and Transfer Books and issuance of stock certificates.
2. Assist the Partner and Head of the Corporate Legal Services in advising clients on substantive and procedural legal issues and concerns in relation to matters handled by the Corporate Legal Services team;
3. Promptly communicate and coordinate with partners, associates, and clients to address issues relating to matters handled by the corporate legal services team;
4. Liaise / confer / discuss with officers from regulatory agencies such as the SEC, Local Government Unit (LGU), Social Security System (SSS), Phil Health, Home Development Mutual Fund (HDMF), Department of Trade and Industry (DTI), Department of Foreign Affairs (DFA), and other government agencies regarding policies and regulatory processes, and regularly apprise CCPG on updates and developments in connection with such matters;
5. Assist the Partner and Head of the Corporate Legal Services in implementing measures that enhance internal paralegal processes and improve CCPG support services;
6. Assist the Partners and Head of the Corporate Legal Services in guiding and reviewing the work of the corporate legal services team from both substantive and procedural aspects, to ensure compliance with legal requirements and high service level;
7. Work with the Corporate Legal Services team and Central Records Administration (CRA) to ensure that corporate records are complete and up to date; and
8. Perform other duties and handle assignments that may be assigned from time to time by the Partner and Head of the Corporate Legal Services.
Skills and Experiences:
- At least a Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) Degree in Law, with good academic credentials, and a member of the Philippine Bar in good standing
- At least three (3) years working in a law firm or at least five (5) years working experience in a related field in a corporate setting
- Knowledgeable in general corporate and commercial law; post-registration and on-going registration for all types of entities; establishment of various types of corporate vehicles; basic amendments of articles of incorporation and by-laws, and licenses of foreign corporations; handling other filing requirements with the SEC; excellent intellectual skills / aptitude and ability to learn quickly on the job
