The Role
The Senior Corporate Paralegal role will centre on delivering timely, efficient and high quality support to those in the Corporate Secretariat arm of the Transactional Practice Group.
Responsibilities include:
- Maintaining and updating the corporate registers for large number of local subsidiary companies and foreign registered companies;
- Ensuring compliance of companies with requirements under the Corporations Act 2001 (Cth);
- Drafting documents to effect changes to companies including but not limited to change to directors, issue and transfer of shares, share buy-backs, application of class orders; change of name and change of company type and deregistration;
- Drafting AGM and board of director minutes;
- Transactional matters including preparation of pre and post closing documentation in relation to acquisition and disposal of companies;
- Registering business names;
- ASIC Industry Funding and ASIC Regulatory Portal lodgements;
- Overseeing ASIC filings and search requests for related practice groups within Baker & McKenzie;
- Conducting legal audits of corporate registers;
- Conducting due diligence;
- Reconstructing register of members and records;
- Registrations of public, proprietary and foreign companies; and
- Providing assistance and information to local and international offices of Baker & McKenzie regarding company secretarial practices in Australia.

Baker McKenzie provides company secretarial services with a full team of dedicated paralegals to ensure that our work is carried out in a professional and cost efficient manner. international organisations in large-scale, complex litigation and dispute resolution across a range of industries and disciplines.
What we're looking for -
- 5 years' experience in a professional services environment (desirable but not required);
- Previous experience is a corporate secretarial role highly regarded
- Knowledge of ASIC Agent portal or lodgement processes (desirable but not required);
- Excellent analytical, communication, and research skills;
- A commitment to high work standards and strong attention to detail;
- An ability to manage competing priorities and work flexibility;
- An ability to demonstrate initiative and proactivity;
- An ability to develop strong relationships;
- An ability to work well in a team environment; and
- A willingness to learn.
