Dana Sabayte is an associate in the London office of Baker McKenzie. She specializes in corporate law issues, as well as pharmaceutical and healthcare issues.

Representative Legal Matters

  • Advised Japanese conglomerate Hitachi on its US$11 billion acquisition of Swiss engineering group ABB; the largest acquisition by Hitachi to date and the largest ever acquisition by a Japanese industrial company;

  • Advised Acino, a Swiss-based pharmaceutical company, on its acquisition of a Russian pharmaceutical company engaged in marketing, sales and distribution of pharmaceuticals in the gynecology sector and for antithrombotic treatment;

  • Advised Siemens Aktiengesellschaft on the corporate and commercial aspects of its joint venture with Mitsubishi Heavy Industries, Ltd. (MHI) with MHI holding a 51-percent and Siemens a 49-percent stake in the joint venture;

  • Advised SUEZ in relation to the carve-out aspects of its USD 3.4 billion acquisition of GE Water;

  • Advised international pharmaceutical / medical devices companies on the acquisition of product portfolios;

  • Advised international pharmaceutical / medical devices companies on the acquisition of manufacturers / distributors;

  • Advised several international pharmaceutical and medical device manufacturers on various regulatory issues (licensing, clinical trials / studies, advertising, product registrations, interactions with healthcare professionals, etc.);

  • Participated in client secondments in international pharmaceutical companies, focusing on commercial and regulatory issues;

  • Advised companies on internal restructurings (including establishment of subsidiaries / branch offices, share purchase deals, assets deals, mergers, liquidations, etc.);

  • Participated in due diligence investigation of Russian legal entities prior to the acquisition of their shares by foreign investors and drafting of due diligence reports, including due diligences of pharmaceutical and medical devices companies, airports, agricultural holding companies and other companies.
