Biography

Timothy Westrate is an associate in Baker McKenzie's Transactional Group.

Prior to joining the Firm, Timothy advised clients concerning the tax aspects of various domestic and international corporate transactions at a multinational professional service firm.

Practice Focus

Timothy has experience with the planning and implementation of complex global corporate reorganization transactions for multinational clients, including post-acquisition integrations, pre-transaction separations and spin-offs, and tax-planning restructurings.

Representative Legal Matters

  • Represented Vistance Networks (formerly CommScope) as international counsel on a series of carve-outs, including the sale of its Home Networks division to Vantiva SA in exchange for a 25% stake in the French public company, the sale of its Outdoor Wireless Networks and Distributed Antenna Systems businesses to Amphenol Corporation for USD 2.1 billion, the sale of its global Connectivity and Cable Solutions business to Amphenol Corporation for USD 10.5 billion and the sale of its RUCKUS Networks business to Belden Corporation for USD 1.75 billion.
  • Advised Evident Scientific, Inc. as international counsel on the carveout sale of its Inspection Technologies division to Wabtec Corp.
  • Advised Johnson & Johnson in connection with the spin-off of its consumer health business segment into Kenvue.
  • Advised Western Digital in connection with the spin-off of its Flash business segment into Sandisk.
  • Advised a US private company on establishing operations outside of the United States.
