Biography

Vera van Blerck is a candidate civil-law notary in the Corporate department of Baker McKenzie, Amsterdam. She works closely with Firm legal and tax professionals in Amsterdam and other offices to ensure integrated transaction support.

Practice Focus

Vera focuses her practice on corporate (notarial) law and advises on domestic and cross-border corporate restructuring, mergers and acquisitions as well as setting up joint ventures, partnerships and corporations. She also advises on general corporate and governance matters from the perspective of Dutch corporate law.

  • Advised Accenture in relation to the acquisition of Zestgroup.
  • Advised Accel-KKR in relation to the acquisition of 82.4% stake in ToolsGroup.
  • Advised Sojitz Corporation in relation to the acquisition of a 66.7% stake in solar power developer Alten RE Developments America from parent company Alten Renewable Energy Developments.
  • Advised JERA Power International (Japanese joint venture between TEPCO and Chubu Electric Power) with the setting up of various Dutch SPV’s that are involved in the acquisition of Energy and Energy-adjacent businesses.
  • Advised Wellbore Integrity Solutions with the structuring of their international global network of companies that offer products and services that benefit the oil, gas and geo-thermal industry.
  • Advised EPH on acquiring, amongst others, the PZEM group of companies, Camden group companies and Sloe group of companies.
  • Advised Whirlpool in a portfolio transformation by combining Whirlpool Corporation’s European major domestic appliance business with Arcelik’s major domestic appliance, consumer electronics, air conditioning, and small domestic appliance businesses.
  • Avised Johnson & Johnson in connection with the separation of its consumer health business, creating a new publicly traded company.
  • Advised APG to create an integrated TowerCo structured through Althio B.V.
