Biography

Teolina Tentchev is a counsel in the M&A and Corporate Practice Groups of Baker McKenzie's Luxembourg office and has more than 10 years of experience. Prior to joining the Firm in 2022, she worked for local and international law firms in Luxembourg for seven years.

Practice Focus

Teolina's primary area of expertise is on cross-border reorganisations and M&A with a particular focus on inbound and outbound cross-border migrations and (de)mergers, within and outside of the EU.

Teolina is assisting both international and domestic clients on a wide range of different and complex projects encompassing global restructuring projects, co-investments, structuring and setup of company structures, including management incentive plans, ongoing corporate legal services as well as local and international M&A, as lead Luxembourg counsel.

Her experience covers a range of business sectors, including in particular actors of the financial and insurance sector.

Representative Legal Matters

  • Regularly advises US multinationals on the reorganization of their groups of companies and use of Luxembourg corporate and contractual hybrid instruments. Regularly assists private equity houses in the structuring of their investments through Luxembourg.
  • Assisted a global bank with the restructuring of multiple joint ventures. 
  • Assisted an European insurance group with the restructuring of one of its co-investments.
