Łukasz Targoszyński
Biography
Łukasz Targoszyński is a partner in Baker McKenzie’s Warsaw office focusing on corporate, M&A and private equity transactions. He advises private equity sponsors, strategic investors and founders on domestic and cross-border acquisitions, divestitures, carve-outs, joint ventures and corporate reorganizations. Łukasz has led transactions across a range of sectors, including technology, healthcare, consumer goods, professional services, industrials & manufacturing, engineering, energy transition and defense-related industries.
He also has significant experience advising on transaction-related warranty and indemnity (W&I) insurance - both to the parties to the transaction and to the insurers.
Representative Legal Matters
- Advised ElectroMobility Poland on a landmark investment and shareholders’ agreement securing approximately EUR 1 billion for the Polish Electromobility Hub, supporting one of the country’s most significant industrial and energy-transition projects.
- Advised SPIE Group on the acquisition of BLOCK Group from private equity fund CEIP, including Warranty & Indemnity insurance aspects, expanding SPIE’s presence in cleanroom and controlled-environment solutions across Central Europe.
- Advised SPIE Central Europe on the acquisition of shares in Stangl Technik, a leading player in Poland and the Czech Republic for mechanical and electrical building technology installation services, from Polish-based private equity firm Avallon MBO Fund and Czech-based private equity firm Genesis Capital.
- Advised Hunter Douglas on its acquisition of 74% of Droma – Sunshade Experts, a leading Polish supplier and manufacturer of sunshade solutions, including exterior screens, shutters and awnings.
- Advised Enterprise Investors on the acquisition of a majority stake in Snap Outdoor, a distributor of mountaineering equipment, which also owns the 8a.pl domain, Poland’s most popular online store dedicated to outdoor and mountain sports.
- Advised Resource Partners on the acquisition of a minority stake in COBI S.A., a toy manufacturer, across multiple jurisdictions. Included financing and brokerage coordination.
- Advised Abris Capital Partners on the sale of Endego, a leading Polish engineering services and advanced engineering software solutions provider, including a separate carve-out and sale of part of Endego's business.
- Advised De Heus Animal Nutrition on the acquisition of Golpasz, one of the leading Polish animal feed players, from Resource Partners.
- Advised the founders on the sale of a majority stake in Nice to Fit You (NTFY), a leading dietary catering provider, to MCI Capital, a leading Polish private equity fund.
- Advised Safe Life AB, a Bridgepoint-backed first-aid solutions platform, on the acquisition of AEDMAX.pl, establishing a Polish platform investment, and on a subsequent strategic add-on acquisition.
- Advised Roland Berger on the acquisition of ALEXEC Consulting, a specialist e-mobility and EV battery advisory business, strengthening its international mobility and energy-transition consulting capabilities.
