Biography

Irina Shestakova has been practicing international commercial law for over 10 years. Ms. Shestakova’s practice is focused on cross-border transactions including: global corporate restructuring projects and acquisitions; international spin-off transactions, structuring international operations and setting up subsidiaries, branches and representative offices in EMEA, APAC and Latin America; and dissolving, deregistering and liquidating “unwanted” entities.

Ms. Shestakova leads the Foreign Direct Investment sub-group that offers a variety of corporate maintenance services and assists clients with the establishment of corporate entities, branches and representative offices around the world. She is a member of the American Bar Association.

Practice Focus

Ms. Shestakova focuses primarily on global corporate restructuring projects, including post-acquisition integration and spin-off transactions, tax-planning restructurings and structuring international operations. Ms. Shestakova assists multinational companies with combining their international operations post-acquisition by means of local mergers and asset transfers. Ms. Shestakova also assists clients with division of their business operations as part of spin-off transactions. Ms. Shestakova advises clients going global on choices of entities available overseas.

In addition, Ms. Shestakova has advised on, drafted and negotiated a wide range of domestic and international software and technology licensing, distribution, development, maintenance and support agreements. She also has advised technology clients on general aspects of trademark and copyright law.

Representative Legal Matters

  • Advised the world's largest medical technology company on post-acquisition integration of its business operations in EMEA.
  • Implemented a branch conversion restructuring for the major semiconductor designer and manufacturer in EMEA and the People’s Republic of China.
  • Assisted the designer and manufacturer of semiconductor processing equipment to implement post-acquisition integration in EMEA and APAC after the acquisition of a European public company.
  • Assisted the major software company to dissolve, deregister and liquidate numerous entities around the world.
