Ted S. Schweinfurth

Ted has significant experience representing emerging and established businesses, entrepreneurs and private equity firms through many general corporate law matters. Ted advises clients through various areas of corporate formation and development, private equity and venture capital transactions, private and public securities offerings, and all aspects of mergers, acquisitions, divestitures, leveraged buy-outs and corporate reorganizations. He has also represented companies, institutions and individuals in connection with compliance with state and federal securities laws.

• Represented private equity fund sponsor in structuring, forming and investing five private equity funds

• Represented private equity fund group in closing over 15 portfolio company acquisitions

• Represented private equity fund group in the disposition of over 10 portfolio companies

• Represented private equity funds in fund-level matters, including fund lines of credit, buy-sell transactions and related agreements with limited partners, partnership agreement amendments and general corporate matters involving the funds, the investment adviser and the partners of the funds

• Represented private equity fund portfolio companies as primary counsel on all legal matters and transactions, including financings, investments, general matters relating to intellectual property, labor and employment, tax, employee benefits, litigation and disputes, material commercial contracts and other general corporate matters

• Represented the equity holders of a defense contractor in its sale to a public company

• Represented the equity holders of a SaaS technology company in its sale (via merger) to a public company.

• Represented the equity holders of a privately held designer and manufacturer of toys, furniture and accessories for children and juveniles in its sale to a private equity firm (via auction)

• Represented the equity holders of a privately held franchisor of specialty cake retail stores in connection with its sale to a private equity firm (via auction)

• Represented a global beverage company in the sale of a manufacturing facility to a strategic buyer (via auction)
