Biography

Simonette is a local principal in the Finance & Projects Practice Group of Baker McKenzie Wong & Leow in Singapore. She has more than 12 years' experience advising sponsors and lenders on energy and infrastructure investment, project development and financing transactions, as well as acquisitions and divestments, on projects across Asia, the Middle East and Africa. Before moving back to Singapore, Simonette was based in London, Beijing and Shanghai.

Practice Focus

Simonette's main areas of practice are cross-border project development, project finance and mergers & acquisitions in the energy and infrastructure sectors. She is experienced in advising on project documents such as construction contracts, operation and maintenance contracts, LTSAs, offtake contracts and concession agreements, as well as financing documents such as common terms / facilities agreements, security agreements and direct agreements. Her experience also includes advising on sale and purchase agreements, joint venture and shareholder agreements, gas and LNG sale and purchase agreements, joint operating agreements, farmout agreements, production sharing contracts and unitisation agreements.

Representative Legal Matters

  • Advised on the project development and financing of the Nusantara Sembcorp Solar Energi power plant in the new capital city of Indonesia, including the PPA and EPC documentation.
  • Advising the Indonesian subsidiary of a major international mining company in relation to the development of several high pressure acid leach (HPAL) plants to process ore from its mining areas, including the joint venture, shareholding, ore supply, offtake, and construction arrangements.
  • Advised a leading energy, chemicals, and infrastructure solutions provider in Southeast Asia on its acquisition of a network of retail fuel stations in Singapore.
  • Advising a specialist data centre developer on the drafting and negotiation of the construction contracts for a proposed data centre development in Thailand.
  • Advised a major Thai energy development corporation on the drafting and negotiation of the supply contracts for key equipment supplied by the OEM for a proposed combined cycle gas project in Thailand.
  • Advised a biodegradable resin manufacturer on the development of a polypropylene plant in Southern Vietnam, including the drafting and negotiation of a turnkey engineering, procurement and construction contract with the selected contractor.
  • Advised a special purpose government agency in Southeast Asia involved in the energy sector in respect of the context of third party open access legal and supervisory regime in the relevant jurisdiction.
  • Advised a Chinese SOE in relation to the EPC and related procurement contracts for an onshore wind farm in eastern Europe.
  • Advised a subsidiary of a Europe-based renewable energy developer, in relation to the development and project financing of a 65MW ground-mounted solar PV power project in South Cotabato, Philippines, focusing on the construction arrangements.
  • Advised the sponsors on the project financing of the 1GW+ Hai Long 2 and 3 offshore wind projects in Taiwan.*
